立訊精密(002475.SZ)：完成收購匯聚科技13.8億股股份併發出強制性無條件現金要約
格隆匯3月16日丨立訊精密(002475.SZ)公佈，2022年2月12日，公司披露《關於收購匯聚科技有限公司控股權的自願性信息披露公吿》：公司擬通過境外全資子公司LUXSHARE PRECISION LIMITED (立訊精密有限公司，“ LUXSHA REPRECISION ”)，以每股港幣0.8元收購Datatech Investment Inc.(“賣方1”)、Time Interconnect Holdings Limited (“賣方2”)分別持有的香港聯合交易所有限公司主板上市公司匯聚科技(01729.HK) 2.0493億股股份(截至2022年2月11日收盤，佔比約11.09%，“標的股份1”)、11.7507億股股份(截至2022年2月11日收盤，佔比約63.58%，“標的股份 2”，與標的股份1合稱“標的股份”)。
截至2022年3月16日，LUXSHARE PRECISION已足額向賣方1、賣方2支付收購款合計港幣11.04億元，並完成全部標的股份交割。交割完成後，LUXSHARE PRECISION合計持有匯聚科技13.8億股股份，約佔截至2022年3月16日收盤匯聚科技已發行總股本的 72.18%。
交割完成後，LUXSHARE PRECISION作為要約人，將根據香港《公司收購、合併及股份回購守則》等的規定，發出收購匯聚科技所有已發行股份及註銷全部未行權購股權(不包括 LUXSHARE PRECISION 及其一致行動人已經持有的)的強制性無條件現金要約。LUXSHARE PRECISION及匯聚科技將根據守則規定刊發就此次要約向要約股東及要約購股權持有人聯合發出的綜合要約及其配套文件。
