美的置業(03990.HK)與金科地產優化合作項目股權 收購南京項目股權

美的置業(03990.HK)公佈,集團與金科地產(000656.SZ)就若幹合作項目的股權優化方案達成一致,其中公司間接全資附屬,同意收購金科地產附屬持股的兩間目標公司股權,收購代價爲9.07億元人民幣(下同),及轉讓貸款本金7,560萬元。 其中一間目標公司主要資產爲一塊位於南京江寧總建築面積約20.3萬平方米的土地。集團擬開發該土地作待售住宅樓宇,預期將於明年6月30日前後完成。 另外,公司間接全資附屬又出售於廣西柳州及湖南嶽陽從事物業發展的目標公司股權及轉讓貸款,代價分別1億元及8,414.82萬元。預期集團將因兩出售錄得估計虧損約44.5萬元。 柳州目標公司主要資產爲當地一塊麪積約爲9.4萬平方米的住宅開發項目,總建築面積約1.45萬平方米已開發爲住宅單位,剩餘總建築面積約8萬平方米仍在建設中,預計將於今年7月31日前後完成。嶽陽目標公司的主要資產爲一塊位於嶽陽縣總建築面積約爲17萬平方米的住宅開發項目,項目已於去年8月24日前全部完工。
