長飛光纖光纜(06869.HK)擬成立聯合體投資啟迪半導體
格隆匯3月9日丨長飛光纖光纜(06869.HK)公吿，公司及武漢睿芯(公司間接全資附屬公司)於2022年3月8日與長飛科創基金、杭州大和、申和投資、蕪湖海沃、蕪湖澤灣貳號、光谷產業投資及上海臨珺訂立聯合投資協議，以成立聯合體及透過參與股權轉讓交易共同投資啟迪半導體(一家從事半導體研發及生產的公司)。
股權轉讓交易的目的是透過公開招標程序方式主要收購太赫茲工程中心及啟迪半導體的權益。
股權轉讓交易將涉及以下五個步驟：(1)公司將收購太赫茲工程中心(一家持有啟迪半導體業務運營所需固定資產的公司)的45%股權；
(2)公司將收購啟迪半導體的72.8964%股權；
(3)公司、長飛科創基金、杭州大和、申和投資、蕪湖海沃、蕪湖澤灣貳號、光谷產業投資及上海臨珺將透過增資方式投資於啟迪半導體，分別獲得啟迪半導體的34.9171%、3.8067%、4.7584%、4.7584%、5.7100%、3.8067%、1.9033%及6.1859%股權；
(4)公司及武漢睿芯將分別購入太赫茲投資中心(於本公吿日期為太赫茲工程中心股東)的6.99%及0.01%合夥權益，並分別成為有限合夥人及普通合夥人；
(5)公司及武漢睿芯將分別購入太赫茲投資基金(於本公吿日期為太赫茲工程中心股東)的6.99%及0.01%合夥權益，並分別成為有限合夥人及普通合夥人。
完成後，集團將擁有太赫茲工程中心約37.10%股權、啟迪半導體約37.10%股權、太赫茲投資基金7%合夥權益及太赫茲投資中心7%合夥權益。武漢睿芯將成為太赫茲投資基金及太赫茲投資中心各自的普通合夥人。公司將有權提名啟迪半導體大多數董事會成員，因此公司將控制啟迪半導體的董事會組成，並透過啟迪半導體控制太赫茲工程中心。故太赫茲工程中心及啟迪半導體將成為本公司附屬公司。根據相關的會計準則，於太赫茲投資基金及太赫茲投資中心的投資將在本公司財務報表中被算作合營企業。
公司與武漢睿芯在聯合投資協議項下擬進行的股權轉讓交易中的應付總金額預計為人民幣7.8億元，其中包括(i)本公司已向安徽長江產權交易所支付不可退還的誠意金人民幣2000萬元(以表示其有意參與公開招標程序)，(ii)公司已向安徽長江產權交易所支付的交易保證金人民幣2億元；及(iii)集團於相關轉讓或增資協議生效日期後五個營業日內支付予安徽長江產權交易所指定賬户的股權轉讓交易項下的餘下代價及出資。
完成後，相關聯合體成員將獲授選擇權，據此，倘啟迪半導體於完成五週年當日或前並未獲合資格上市，相關聯合體成員有權在30日內送達書面通知，要求啟迪半導體回購其在股權轉讓交易的一部分的現金增資中認購的啟迪半導體任何或全部股權。接納選擇權毋須支付溢價。
於公吿日期，聯合體已申請參與股權轉讓交易，但並無任何聯合體成員已經訂立與股權轉讓交易有關的正式轉讓或增資協議。聯合體在招標程序中成功競標後，聯合體的成員將與相關人士訂立正式的轉讓及增資協議(視情況而定)以落實執行股權轉讓交易。
