長飛光纖(601869.SH)：擬以7.8億元組成競買聯合體 參與太赫茲工程中心與啟迪半導體合併重組整體交易
格隆匯3月9日丨長飛光纖(601869.SH)公佈，公司及公司全資下屬公司武漢睿芯投資管理有限公司(“武漢睿芯”)已於2022年3月8日與公司參與設立的武漢長飛科創產業基金合夥企業(有限合夥)(“長飛科創基金”)、杭州大和熱磁電子有限公司(“杭州大和”)、上海申和投資有限公司(“申和投資”)、蕪湖海沃硬科技創業投資基金合夥企業(有限合夥)(“蕪湖海沃”)、蕪湖澤灣貳號投資管理合夥企業(有限合夥)(“蕪湖澤灣貳號”)、武漢光谷新技術產業投資有限公司(“武漢光谷新投”)及上海臨珺電子科技有限公司(“上海臨珺”)簽署《聯合投資(受讓)協議》，組成競買聯合體，報名參與了在安徽長江產權交易所(“長交所”)公開掛牌的《蕪湖太赫茲工程中心有限公司與蕪湖啟迪半導體有限公司合並重組整體交易方案》，其中包括：
1)蕪湖太赫茲工程中心有限公司(“太赫茲工程中心”)股權轉讓項目、2)蕪湖啟迪半導體有限公司(“啟迪半導體”)股權轉讓項目、3)啟迪半導體增資項目、4)蕪湖啟迪太赫茲投資管理中心(有限合夥)(“太赫茲投資中心”)合夥份額轉讓項目、及5)太赫茲(蕪湖)投資基金(有限合夥)(“太赫茲投資基金”)合夥份額轉讓項目。
此次交易，公司及武漢睿芯擬合計出資人民幣7.8億元。
此次交易完成後，公司將直接持有啟迪半導體約34.92%的股權、通過太赫茲投資中心和太赫茲投資基金間接持有啟迪半導體約2.18%的股權，合計持有啟迪半導體約37.10%的股權，啟迪半導體將成為公司子公司，太赫茲工程中心將成為啟迪半導體子公司，均納入公司合併財務報表範圍內。
公吿顯示，啟迪半導體及蕪湖太赫茲工程中心主要從事以碳化硅(SiC)和氮化鎵(GaN)為代表的第三代半導體產品的工藝研發和製造，主要業務包括碳化硅和氮化鎵的外延、第三代半導體功率及射頻等相關芯片製造、功率模塊和功率單管封裝測試等全產業鏈的研發生產及銷售。其中，啟迪半導體目前主要負責業務運營，太赫茲工程中心主要負責持有業務運營所需的相關固定資產。
標的公司啟迪半導體及太赫茲工程中心採購相關化合物半導體襯底，經過外延爐外延生長製成外延片，其後根據客户需求經過光刻、蝕刻等步驟製成功率及射頻等相關芯片，再經過封裝測試製成器件產品。該等第三代半導體器件產品主要用於新能源汽車、通信基站、光伏等相關領域。
啟迪半導體於2018年1月31日設立，是專注於第三代半導體的研發和生產的企業，具備從第三代半導體材料外延生產、第三代半導體功率及射頻等相關芯片和器件製造到模塊封裝測試的專業化代工生產能力和技術研發能力。第三代半導體在公司主營業務相關的移動通信方面及新能源汽車方面擁有廣闊的市場前景。公司參與此次交易是多元化戰略實施的重要舉措，預計將有利於提升公司核心競爭力。
