瑞爾集團(06639.HK)擬全球發售4652.75萬股 引入現代牙科等多家基石
格隆匯3月9日丨瑞爾集團(06639.HK)發佈公吿，公司擬全球發售4652.75萬股股份，其中香港發售股份465.3萬股，國際發售股份4187.45萬股，另有15%超額配股權；2022年3月9日至3月14日招股；發售價將為每股發售股份14.62港元，每手買賣單位500股，入場費約7384港元；中金公司及海通國際為聯席保薦人；預期股份將於2022年3月22日於聯交所主板掛牌上市。
根據弗若斯特沙利文的資料，按2020年的總收入計，集團是中國高端民營口腔醫療服務市場最大的口腔醫療服務提供商，且按同期的收入計，集團亦是中國整個民營口腔醫療服務市場的第三大口腔醫療服務提供商。自1999年成立以來，在過往十年當中，集團已服務患者約740萬人次，且在提高和促進中國公眾和消費者對口腔護理和良好口腔衞生的重要性的意識和認識方面發揮着重要作用。
集團已成為中國領先的口腔醫療服務集團，業務遍及全國，同時運營瑞爾齒科(領先的高端口腔醫療服務品牌)和瑞泰口腔(中端口腔醫療服務品牌)。根據弗若斯特沙利文的資料，高端口腔醫療服務一般指面向上層市場的全面高度訂製化口腔醫療服務，其掛牌價格較三級甲等醫院提供同類型口腔醫療服務的標準掛牌價格高出至少25%，而中端口腔醫療服務一般指針對中上階層市場量身訂製的全面口腔醫療服務，其掛牌價格較三級甲等醫院提供同類型口腔醫療服務的標準掛牌價格高出約10%。
集團已訂立基石投資協議，基石投資者已同意在若干條件的規限下按發售價認購發售股份，數目相當於以總額6500萬美元(或約5.08億港元)可購買的股份。基石投資者將按發售價14.62港元認購的發售股份總數為3473.65萬股。基石投資者包括Abax Asian Structured Private Credit Fund III, LP、Harvest、Hudson Bay、OrbiMed Funds、及現代牙科(03600.HK)間接全資子公司高鵬(香港)有限公司。
假設發售價為每股14.62港元，集團估計自全球發售收取淨所得款項約5.899億港元(假設超額配股權未獲行使)。其中，全球發售淨所得款項約75%將用於業務擴張、在現有及新城市開設新的瑞爾齒科和瑞泰口腔的醫院及診所。為促進集團的擴張，集團計劃繼續集團的雙品牌戰略，以在各個地區和區域快速擴張，迎合中高端市場對高質量的口腔醫療服務的需求及增長潛力，並利用更為多樣化的患者羣進一步推動未來增長。雖然集團於2021財政年度因COVID-19疫情的影響放緩擴張計劃，僅開設兩家醫院及診所，但集團恢復了擴張計劃並預期自2022財政年度開始每年開設10家以上新醫院及診所。全球發售淨所得款項約15%將用於建設及優化集團的信息技術基礎設施；及所得款項約10%將用作營運資金，以繼續為客户提供優質的口腔醫療服務。
