大全能源(688303.SH)：獨立董事袁淵的母親短線交易
格隆匯3月3日丨大全能源(688303.SH)公佈，公司於2022年3月3日收到公司獨立董事袁淵出具的《關於親屬構成短線交易的情況及致歉説明》，獲悉其母親在2021年11月18日至2021年11月26日期間買賣公司股票。根據相關規定，獨立董事其母親在上述期間買賣公司股票的行為構成短線交易，經核查，獨立董事其母親買賣公司股票的具體情況如下：
根據《證券法》等相關規定，獨立董事其母親在買入後六個月內賣出公司股票的行為構成短線交易。上述短線交易所得收益為-12584.03元(計算方法為：賣出價格*賣出數量-買入價格*買入數量)。截止公吿披露日，獨立董事其母親未持有公司股票。
按照上述規定，獨立董事其母親本次短線交易所獲收益應歸公司所有，由公司董事會收回。本次短線交易未產生可收回收益。
根據袁淵出具的《關於親屬構成短線交易的情況及致歉説明》，本次短線交易行為系獨立董事其母親根據股票當日在二級市場的走勢判斷做出的自主投資行為，公司獨立董事袁淵並不知曉該交易情況，交易前後袁淵亦未吿知其母親關於公司經營情況等相關信息。本次交易行為均為其母親個人操作，不存在利用短線交易或內幕信息謀求利益的目的，不存在主觀違規的情況。
其母親已深刻認識到此次事項的嚴重性，對因操作構成短線交易而帶來的不良影響向廣大投資者致以誠摯的歉意，並將在今後加強相關法律法規的學習，自覺維護證券市場秩序，保證此類情況不再發生。獨立董事袁淵先生對於未能及時盡到督促義務深表自責，向廣大投資者致以誠摯的歉意，承諾以後將進一步學習和嚴格遵守相關法律、法規等規定，自覺維護證券市場秩序，保證此類情況不再發生。
