中國先鋒醫藥(01345.HK)附屬擬向湖南天童環保增資2750萬元
格隆匯2月24日丨中國先鋒醫藥(01345.HK)發佈公吿，2022年2月23日，公司附屬公司仙桃醫療與天道醫療和肖國光先生簽訂增資協議，據此，仙桃醫療擬向目標公司(即湖南天童環保有限公司)增資人民幣2750萬元，持有目標公司55%的股權。在本次增資完成後，目標公司的註冊資本將從人民幣2000萬元增至人民幣5000萬元，由仙桃醫療、天道醫療和肖先生分別持有其55%、39%和6%的已發行股本。
目標公司為一家中國成立的有限責任公司，是一家集環境保護科技研發、工業生產、行銷貿易為一體的綜合型企業，重點項目為化學鍍鎳廢液綜合回收的推廣應用及ECD電催化鋼帶無酸清理成套技術裝備研究與應用，技術負責人(首席專家)為肖先生。目標公司於2021年6月10日通過了一項由中國環境科學學會組織的成果鑑定，成果名稱為化學鍍鎳廢液綜合回收研究與推廣應用，該成果被評為國際先進水準。除此之外，目標公司已向國家專利總局申請6項發明專利，1項實用新型專利。
公吿表示，本次增資符合集團長遠的戰略規劃和目標，有助於集團將業務拓展至環保行業，肖先生作為環保行業領軍人物對環保行業的發展有着極為深刻的理解，同時環保行業作為國家政策鼓勵和支持的行業，有着廣闊的發展前景。目標公司自主研發的化學鍍鎳廢液綜合回收技術具有可回收重金屬、自動化程度高、可循環利用的優勢；ECD電催化鋼帶無酸清理成套技術具有速度快，成本低，無污染的特點。目標公司憑藉以上技術的優勢，有望未來在環保領域為集團及廣大股東創造良好的收益和回報。
