福萊特(601865.SH)：擬以33.44億元收購大華礦業及三力礦業 提升玻璃用石英巖礦資源的儲量
格隆匯2月13日丨福萊特(601865.SH)公佈，公司擬通過支付現金和承擔債務的方式購買安徽鳳砂礦業集團有限公司(“鳳砂集團”)持有的安徽大華東方礦業有限公司(“大華礦業”)100%股權和安徽三力礦業有限責任公司(“三力礦業”)100%股權，交易總價款約人民幣33.44億元，包括受讓標的股權支付的股權轉讓價款人民幣28.05億元及承擔標的公司欠交易對方鳳砂集團債務人民幣約5.39億元。
公吿顯示，大華礦業擁有一宗採礦權，位於安徽省鳳陽縣府城鎮城河南路靈山-木屐山礦區，已取得安徽省國土資源廳於2020年3月12日核發的證號為C3400002020037130149488的《中華人民共和國採礦許可證》，礦山名稱為鳳陽縣靈山-木屐山礦區玻璃用石英巖礦15號段，開採礦種為玻璃用石英巖，礦區面積為0.2288平方公里，證載獲批的生產規模為50萬噸/年（期後生產規模擬變更為260萬噸/年。截至評估基準日2021年12月31日，擴大變更生產規模相關可行性研究報吿和開發利用方案經專家組評審通過，並已取得滁州經信局備案函），開採方式為露天開採，有效期限自2020年3月12日至2050年3月12日。截至公吿日，大華礦業具備礦山開採的生產條件。
三力礦業擁有一宗採礦權，位於安徽省鳳陽縣南部山區偏西靈山-木屐山一帶，已取得安徽省國土資源廳於2016年12月26日核發的證號為C3400002010127140109771的《中華人民共和國採礦許可證》，礦山名稱為安徽三力礦業有限責任公司靈山石英巖礦，開採礦種為玻璃用石英巖，礦區面積為0.2009平方公里，證載獲批的生產規模為190萬噸/年(期後生產規模擬變更為400萬噸/年，截至評估基準日2021年12月31日，涉及該擴大生產規模開發利用方案的相關專家組評審及後續審批程序正在推進中)，開採方式為露天開採，有效期限自2016年12月26日至2028年12月26日。截至公吿日，三力礦業具備礦山開採的生產條件。
公司受讓大華礦業100%股權和三力礦業100%的股權，採礦權仍在大華礦業和三力礦業各自名下，不涉及採礦權權屬轉移。
石英砂是公司生產光伏玻璃和浮法玻璃的重要原材料之一，隨着公司產銷規模的不斷擴大，對於石英砂的需求日益增長。此次收購大華礦業100%股權和三力礦業100%股權有助於上市公司提升玻璃用石英巖礦資源的儲量，有助於公司保障生產基地的用砂需求和品質安全，降低公司對外購石英砂的依賴，降低石英砂原材料波動對上市公司產品成本及業績的影響。此次交易完成後，公司抵抗風險的能力將大幅加強，持續經營能力也將穩步提升，符合公司整體的發展戰略，亦符合公司及全體股東的利益。
