佳兆業健康(00876.HK)：將通過合約安排以獲得深圳達逸臻應占的全部經濟利益
格隆匯1月31日丨佳兆業健康(00876.HK)公佈，於2021年7月20日、2021年7月21日及2021年8月31日，佳兆業健康(海口)(公司之間接全資附屬公司)與深圳盈都分別訂立第一份轉讓協議、第二份轉讓協議及第三份轉讓協議，內容有關以總代價人民幣1.80億元轉讓目標有限合夥權益(於有限合夥企業的合共5.51%有限合夥權)。、
據悉，有限合夥企業是於2018年3月15日根據中國法律成立的有限合夥企業，其投資目標是通過投資於資料科技、優質醫療健康產業的股權及股權相關證券，實現長期資本增值。有限合夥企業的期限為二十年。於公佈日期，有限合夥企業的普通合夥人為珠海金鎰衡，珠海金鎰衡為在中國成立的有限合夥企業，註冊資本為人民幣10,000,000元。據集團經作出一切合理查詢後所深知、全悉及確信，於公佈日期，珠海金鎰衡由中國居民宋曉威先生及李帥先生控制。
集團一直尋找投資機會。考慮到(i)有限合夥企業的投資重點為優質醫療健康產業，符合集團的投資策略；及(ii)有限合夥企業的普通合夥人擁有豐富的投資及基金管理經驗，董事會相信該等收購事項將使集團把握投資機會併產生潛在投資回報。因此，董事認為，該等轉讓協議的條款及條件屬公平合理，並符合公司及其股東的整體利益。
以投資於資訊科技、優質醫療健康產業的股權及股權相關證券為重點的目標有限合夥權益的投資目前受該等條文及指引項下的外商投資限制。根據該等條文及指引，對醫療健康機構的投資須遵守中外合資經營結構，其中中方持股比例應不低於30%。由於佳兆業健康(海口)由公司(被視為外國投資者)控制，雙方已訂立合約安排以避免上述外商限制。合約安排將使集團獲得深圳達逸臻應占的全部經濟利益。
