青島港(06198.HK)：日照港財務公司擬吸收合併方式與青島港財務公司合併
格隆匯1月26日丨青島港(06198.HK)發佈公吿，2022年1月25日，公司與山東港口、青島港財務公司(公司與山東港口青島港集團分別持有其70%和30%股權)、日照港財務公司(日照港集團與日照港股份分別持有其60%和40%股權)及日照港股份訂立吸收合併協議，據此，日照港財務公司將通過吸收合併的方式與青島港財務公司合併。建議吸收合併完成後，青島港財務公司(作為存續合併方)將存續並承擔及繼承日照港財務公司的所有資產、負債、人員及業務，且日照港財務公司(作為被合併方)將解散並註銷。
2022年1月25日，公司與山東港口、日照港股份及山港金控訂立增資協議，將青島港財務公司的註冊資本從人民幣20億元增加至人民幣25.677億元。根據增資協議，山東港口及山港金控同意分別以人民幣7.971億元及人民幣1.251億元的對價認購青島港財務公司註冊資本人民幣4.906億元及人民幣7702.99萬元。
同日，公司與山東港口訂立2022 SDP產品及服務協議，據此，以管理集團從山東港口集團採購產品及服務，集團向山東港口集團銷售產品及服務，集團向山東港口集團提供資產租賃服務及山東港口集團向集團提供資產租賃服務；及與山東港口訂立2022 SDP金融服務協議，據此，以管理山東港口集團向集團提供存款服務、信貸服務及中間業務服務。
