協鑫新能源(00451.HK)：擬出售寧夏鑫墾簡泉光伏電力全部股權
格隆匯1月25日丨協鑫新能源(00451.HK)公佈，於2021年7月12日，公司的間接附屬公司蘇州協鑫新能源(作為賣方)與湖南新華(作為買方)訂立符合最低豁免水平的過往協議。根據符合最低豁免水平的過往協議，蘇州協鑫新能源同意(其中包括)向湖南新華出售鹽源縣白烏新能源科技有限公司("鹽源縣白烏")的全部股權。
於2021年8月30日，公司的間接附屬公司蘇州協鑫新能源及西安協鑫新能源(作為賣方)與寧夏含光(作為買方)訂立首批該等90%股權購股協議及首批該等10%股權購股協議。根據首批該等購股協議，蘇州協鑫新能源及西安協鑫新能源同意(其中包括)向寧夏含光分階段出售於神木市平元電力有限公司("神木平元")、神木市平西電力有限公司("神木平西")、神木縣晶登電力有限公司("神木晶登")及西鹹新區協鑫光伏電力有限公司("西鹹新區協鑫")各自的全部股權。
於2021年9月13日，公司的間接附屬公司西安協鑫新能源(作為賣方)與寧夏含光(作為買方)訂立第二批該等90%股權購股協議及第二批該等10%股權購股協議。根據第二批該等購股協議，西安協鑫新能源同意(其中包括)向寧夏含光分階段出售於神木市晶富電力有限公司("神木晶富")及神木市晶普電力有限公司("神木晶普")各自的全部股權。
於2022年1月25日，公司的間接附屬公司寧夏協鑫新能源(作為賣方)與湖南新華(作為買方)訂立第三批購股協議。根據第三批購股協議，寧夏協鑫新能源同意(其中包括)向湖南新華出售目標公司全部股權。於第三批出售事項完成後，目標公司將不再為公司的附屬公司。因此，於第三批出售事項後目標公司的財務業績將不再於公司的財務報表綜合入賬。
據悉，目標公司寧夏鑫墾簡泉光伏電力有限公司由寧夏協鑫新能源直接全資擁有，併為公司的間接附屬公司。目標公司主要於中國從事經營光伏電站。
該等交易的現金所得款項淨額(即(i)代價約人民幣880萬元及(ii)於基準日的淨應付款項約人民幣2.26億元扣減(iii)預計整改金額約人民幣228萬元的總和)預計為約人民幣2.33億元，而公司擬將有關款項用於償還其債務。
