華南城(01668.HK):特區建發集團擬認購33.5億股 將成為主要股東兼單一最大股東
格隆匯12月31日丨華南城(01668.HK)發佈公吿,2021年12月30日,公司與特區建發集團訂立認購協議,據此,特區建發集團有條件同意認購或促使其全資附屬公司認購,而公司有條件同意按認購價每股0.57港元配發及發行33.5億股新股份予特區建發集團或其全資附屬公司。認購股份佔公司於該公吿日期已發行股本約41.40%,及經配發及發行認購股份擴大後的已發行股本約29.28%。
緊接認購事項完成前,特區建發集團並無擁有任何股份。認購事項完成後,特區建發集團將擁有33.5億股股份的權益,佔公司經配發及發行認購股份擴大後已發行股本29.28%。認購事項完成後,特區建發集團將成為主要股東兼單一最大股東。發行認購股份的所得款項總額估計約為19.095億港元,所得款項淨額估計約為18.938億港元。公司擬將認購事項所得款項淨額用於償還現有債務及作一般公司用途。
於簽署認購協議的同日,特區建發集團與公司訂立戰略合作協議,特區建發集團與公司同意,以特區建發集團或其全資附屬公司通過認購公司普通股成為公司第一大股東為基礎,按照“優勢互補、戰略協同、創新發展”原則,建立戰略合作與協同關係,實現強強聯合。
根據披露,特區建發集團是深圳市國有資產監督管理委員會下轄的國有獨資企業。其為深圳市國有產業園區開發運營主體之一,負責重大基礎設施建設工作。特區建發集團充分認可公司支持實體經濟可持續發展的業務模式。公司相信,特區建發集團成為公司股東,可帶來其資源及行業經驗,讓公司提高管理及運營效率和增強財務實力。由此,公司於綜合商貿物流生態系統模式下開發及探索其他潛力的能力和資源將得到進一步豐富及補充。另一方面,公司將探索與特區建發集團的合作機會,以實現業務協同效應,盡力提高股東回報,同時支持實體經濟的可持續發展。
憑藉該等夥伴關係,公司可與特區建發集團合作,以提高現有項目的運營效率及價值,探索未來潛在項目的機會。認購事項將增強公司的財務實力及融資能力,併為公司提供機會擴大其股東及資本基礎、降低融資成本及改善債務結構以及豐富資金渠道。
