朗詩綠色生活(01965.HK)擬1.07億元收購Dream Seeker International全部股權
格隆匯12月30日丨朗詩綠色生活(01965.HK)發佈公吿，於2021年12月30日，買方Southern Land International Company Limited（公司全資附屬公司）與賣方Lucky Front Investments Limited、目標公司Dream Seeker International limited及新地鋭意訂立該協議，據此，買方有條件同意收購而賣方有條件同意出售目標股份（相當於目標公司全部已發行股本），初步現金代價為人民幣1.07億元（可予調整）。
目標集團為物業管理服務及城市綜合服務供應商，業務涵蓋中國安徽、河南二省十餘個城市。於本公吿日期，目標集團的在管建築面積超過600萬平方米，合約面積超過700萬平方米。目標集團管理業態包括：住宅、超高層寫字樓、產業園、商業街、銀行及學校。其中超高層寫字樓及安徽省知名地標新地中心項目位於安徽省政務文化新區核心腹地，與市委市政府隔湖相望，與省廣電中心大樓共同築就安徽之門形象，為安徽省知名地標性建築。目標集團為安徽省物業管理協會常務理事單位、國際物業金鑰匙聯盟成員，2021年被中指院評為全國物業管理企業百強第八十八位，榮膺2021年藍籌物業百強企業，2020年度安徽省物業管理示範企業等榮譽，新地鋭意物業服務品牌在安徽省已經積累了深遠的影響力。
安徽金大地主要從事（其中包括）物業投資，包括地產開發，深耕安徽、河南及山東多年。完成後，安徽金大地的未來開發項目仍交由目標集團管理。此外，安徽金大地看好物業行業與集團發展前景，收購事項將為安徽金大地與集團深化戰略合作奠定穩固基礎，共同謀劃物業與城市綜合服務業務新篇章。
董事會相信，收購事項可擴大集團業務營運的規模及範圍，實現朗詩與新地雙品牌運行，加強集團於安徽、河南及山東物業管理服務市場的品牌知名度及競爭力，與集團實現疆域互補。同時，收購事項為集團開拓城市服務領域，與集團實現業務互補。收購事項將進一步優化集團的業務架構，實現雙品牌實力交叉，管理能力交叉，符合集團的戰略需求。
