新明中國(02699.HK):管理層正積極與貸款人磋商以重組條款
格隆匯12月30日丨新明中國(02699.HK)公佈有關公司為改善集團流動資金及財務狀況所採取的措施的最新消息。
(i) 繼續與集團現有貸款人磋商,確保相關貸款人不會採取行動以要求即時償還拖欠的借款及利息(包括違約條款所涵蓋的借款及利息);
若干現有貸款人要求集團償還借款及利息。管理層正積極與貸款人磋商,以重組條款(包括但不限於延展到期日及尚欠借款的還款時間表)。
(ii) 就尚欠借款(包括已逾期本金及利息)與各家金融機構繼續磋商達成重續或延展還款安排;
管理層一直就尚欠借款達成重續或延展還款安排與現有貸款人磋商。截至2021年11月30日,仍尚欠本金總額人民幣19.739億元,以及已逾期而尚欠利息總額約人民幣2.239億元。根據最近與各家金融機構進行的商討,管理層獲悉,並無額外利息罰款。
(iii) 與各家金融機構及潛在貸款人╱投資者持續磋商為集團於可見將來的營運資金及承擔物色各種額外撥資的機會;
截至公吿日期,公司以集團持有的土地作為擔保,與現有及其他銀行及金融機構磋商,以獲得額外融資。
(iv) 加速開發中及已竣工物業之預售和銷售,諸如山東項目和重慶項目,以及控制成本和控制資本開支,從而為集團帶來充足現金流入淨額;
第一期及第二期的山東項目預售分別於2021年1月及5月開展,而第三期山東項目預售預計於2022年1月開展。大部分山東項目所得款項淨額將用於償還尚欠借款。
(v) 積極尋求大型物業開發商並與投資者合作,以共同開發集團開發中的物業;
及管理層已與兩名物業開發商協商開發重慶項目。若公司能夠於2022年上半年與物業開發商訂立具有法律約束力的協議,預計重慶項目的開發可於2022年下旬啟動。
(vi) 積極促使並與大型物業開發商制定初步條款,以按合適的價格銷售個別物業開發項目或整楝商用房。
公司已與若干潛在買方進行協商,以銷售整個上海物業開發項目。管理層估計上海項目的大部分所得款項淨額將用於償還尚欠借款。出售上海項目可能構成上市規則第14章下公司須予公佈的交易,並將須遵守上市規則的相關規定。
