微創醫療(00853.HK)建議分拆微創腦科學於聯交所主板獨立上市
格隆匯12月28日丨微創醫療(00853.HK)公吿，公司建議分拆微創腦科學有限公司的股份於聯交所主板獨立上市。分拆公司股份於聯交所主板獨立上市構成公司根據第15項應用指引分拆分拆公司。聯交所已確認公司可進行建議分拆。
於2021年12月28日，分拆公司向聯交所申請批准分拆公司股份於聯交所主板上市及買賣。分拆公司就上市擬透過全球發售方式發售其股份。全球發售的規模及條款尚未落實。於本公吿日期，公司間接持有分拆公司約54.64%權益。待建議分拆及上市完成後，分拆公司預期將仍然為公司的附屬公司。
分拆集團主要從事研發、生產及商業化神經介入治療及通路醫療器械，用於治療神經血管疾病（包括出血性腦卒中、腦動脈粥樣硬化狹窄及急性缺血性腦卒中）。
公司董事會認為建議分拆符合公司及分拆公司及其各自股東的整體利益，理由如下：(a) 建議分拆將釋放正處於快速增長階段的分拆公司的價值，併為公司及股東提供機會，在分拆業務的獨立平台下實現其於分拆集團的投資價值。
(b) 建議分拆會將分拆業務與保留集團的業務分離。該分離能使股東及投資者可分別評估分拆集團及保留集團的策略、成功因素、功能風險、風險及回報，並據此作出或改善投資決定。投資者可選擇投資於分拆集團或保留集團的一項或全部業務。
(c) 建議分拆將可使分拆集團建立其作為獨立上市集團的身份、擁有獨立的集資平台及擴大其投資者基礎。直接進入資本市場可使分拆集團進行股權及╱或債務融資，以資助其現有營運及未來擴張，而無需依賴公司，從而加速其擴張，改善其營運及財務管理效率，從而為分拆集團的股東提供更佳回報。
(d) 建議分拆將可使分拆集團提升其企業形象，從而增加其吸引投資者對分拆集團進行投資的能力，從而為分拆集團帶來協同效應，而保留集團亦將從該等投資中獲益，而毋須作出進一步資本承擔。
(e) 建議分拆將提高分拆公司的營運及財務透明度，並改善分拆公司的企業管治，讓股東及投資者更清楚分拆集團的獨立業務及財務狀況，而此等改善將有助建立投資者的信心，讓他們根據對分拆集團的表現、管理、策略、風險及回報的評估作出投資決定。
及(f) 建議分拆將使保留集團及分拆集團能就各自的業務進行更集中的發展、策略規劃及更好地分配資源。保留集團及分拆集團將受惠於獨立管理架構下的有效決策程序，以把握新出現的業務機遇，尤其是分拆集團有一個專門的管理團隊專注於其發展。此外，建議分拆將提高分拆集團招聘、激勵及挽留主要管理人員的能力。
