正通汽車(01728.HK)：一審判決要求北京廣澤應向原吿支付本金4.2億元連同利息
格隆匯12月23日丨正通汽車(01728.HK)發佈公吿，2021年12月17日傍晚，公司被吿知以寧波禹宸豐澤股權投資合夥企業(有限合夥)(“原吿”)為受益人及針對(其中包括)北京廣澤房地產開發有限公司(“北京廣澤”)、北京尊寶成置業有限公司(“北京尊寶成”)、北京寶澤汽車科技發展有限公司(“北京寶澤”)及武漢正通聯合實業投資集團有限公司(“武漢正通”)的法院判決(“一審判決”)已由浙江省寧波市中級人民法院授出(此外，原吿在中國內地的聯屬人士就本金金額人民幣13.5億元尚未償還的貸款亦提起訴訟(“另案訴訟”)，要求武漢正通需承擔連帶保證責任。另案訴訟仍未裁決)。北京廣澤乃一家由公司執行董事王木清的家庭成員間接持有的佔多數控制權的公司。因此，根據上市規則，北京廣澤屬公司關連人士。北京廣澤分別持有北京尊寶成及北京寶澤8.6758%及4.3478%股權。武漢正通為公司間接全資附屬公司。
根據一審判決要求，北京廣澤應向原吿支付本金金額人民幣4.2億元連同利息(該金額尚未最終確定)，其中包括原吿於北京尊寶成及北京寶澤股權投資的回購金額。因武漢正通於2016年3月(首次簽訂)及2020年3月(展期)以原吿為受益人就北京廣澤結欠原吿的尚未支付金額訂立差額補足協議等文件，一審法院同時要求，武漢正通應對上述金額承擔連帶保證責任。北京廣澤的上述債務已由(其中包括)北京尊寶成及北京寶澤所擁有的房地產作為抵押。該抵押品同時作為另案訴訟項下尚未償還的貸款的抵押。根據杜鳴聯合房地產評估(北京)有限公司於2020年3月4日出具的評估意見，該抵押品在2019年12月30日的價值為約人民幣32.18億元，此時尚未明確該抵押品會否或何時可變現。
公司現有董事會包括於廈門國貿控股集團有限公司收購公司29.90%股份後在2021年9月獲委任的董事。武漢正通於2016年3月(首次簽訂)及2020年3月(展期)訂立差額補足協議等文件時，可能於有關時間構成向公司董事之一及╱或其聯繫人士的非豁免財政支援，因此，於有關時間可能構成公司尚未披露關連交易。公司現時所組成的董事會需額外時間就差額補足協議等文件及公司是否於該時已遵守上市規則項下有關合規規定而作出其查詢。目前一審判決尚未生效，武漢正通將依法上訴。
