協鑫新能源(00451.HK)：與保利協鑫天然氣訂立框架協議 鎖定排他期、保證以較低成本獲得氫能業務的原材料
格隆匯12月19日丨保利協鑫能源(03800.HK)與協鑫新能源(00451.HK)董事會欣然宣佈，2021年12月19日，協鑫新能源香港(協鑫新能源間接全資附屬公司)(作為買方)就自支付按金的首筆付款(1500萬美元)起計12個月的排他期與保利協鑫天然氣(作為供應方)訂立框架協議，以與保利協鑫天然氣就天然氣的可能購買事項訂立買賣協議，從而促進協鑫新能源氫能業務的發展。
根據框架協議，協鑫新能源香港將於先決條件達成後向保利協鑫天然氣支付可退回款項3000萬美元(作為按金)。
聯合公吿日期，協鑫新能源為保利協鑫的附屬公司。保利協鑫天然氣為保利協鑫天然氣集團的間接全資附屬公司，其主要業務為石油和天然氣的勘探、開發、生產和銷售，包括於埃塞俄比亞的天然氣開採業務。保利協鑫天然氣的業務乃獨立於保利協鑫及協鑫新能源。
茲提述過往聯合公吿，協鑫新能源成立了氫能事業部，積極研究及發展氫能業務。
目前全球氫產量中，天然氣制氫佔比超過70%，是主要的氫能來源。由於具備資源豐富、生產成本低、技術成熟等優勢，天然氣制氫作為一種“過渡清潔能源”，將在“碳達峯、碳中和”的戰略實施中扮演重要的角色。為此，考慮到公司未來在氫能的多樣化佈局，協鑫新能源於2021年7月28日與協鑫新能源的關連人士保利協鑫天然氣集團訂立不具有法律約束力的諒解備忘錄，利用其海外豐富天然氣資源，將之加工成液氨形式，其後運回中國製氫，讓協鑫新能源有望滿足國內鋼鐵廠、玻璃廠、陶瓷廠等主要大型客户用氫需求，快速擴大協鑫新能源產能規模，以滿足巨大的市場需求，將協鑫新能源打造成為國際主要的氫能供應商及綜合服務供應商。
於過往聯合公吿日期後，協鑫新能源的氫能事業部(i)委任相關行業專家領導15人的項目團隊以對氫能業務進行初步評估；(ii)委聘專業人員就氫能業務編制可行性研究報吿，包括但不限於技術可行性報吿及產品市場研究；及(iii)與當地有關政府商討我們的潛在投資計劃。鑑於保利協鑫天然氣工廠的戰略位置及其臨近建議發展氫能業務的位置，來自保利協鑫天然氣的天然氣(即氫能業務的主要原材料)供應為氫能業務天然氣供應的唯一可行來源。因此，保證天然氣供應對協鑫新能源而言實屬必要並符合協鑫新能源的利益。
透過訂立框架協議，協鑫新能源將可鎖定排他期，以與保利協鑫天然氣就天然氣的可能購買事項按預先釐定的價格訂立買賣協議，從而保證以較低成本獲得氫能業務的原材料，協鑫新能源因此可進入下一階段及投入大量資源制定具體計劃以促進氫能業務的發展。
