堃博醫療-B(02216.HK)擬收購New Frontier Health Corporation 0.18%股權並與其訂立戰略合作框架協議
格隆匯12月6日丨堃博醫療-B(02216.HK)發佈公吿，公司於2021年12月6日訂立認購協議，據此，公司同意以總認購金額不多於約2340萬港元認購UnicornHolding的有限合夥權益，於緊隨認購事項完成後佔Unicorn Holding約1.11%股權，而根據認購協議及合夥協議的條款，公司成為Unicorn Holding的有限合夥人。
於簽訂認購協議後，公司同意受合夥協議所有條款及條文約束。總認購金額將以公司的現有現金支付，而該現金非乃通過全球發售所得款項。Unicorn Holding為一家開曼羣島獲豁免有限合夥企業，其將直接及╱或間接透過控股公司及若干中介實體收購目標公司New Frontier Health Corporation的16.07%股權，但有關股權或會就私有化在買方銀團成員之間作調整。
目標公司為一家於開曼羣島註冊成立的獲豁免公司，其股份在美國紐約證券交易所上市（股份名稱：NFH），擁有及經營和睦家。和睦家為一家在中國提供全面優質醫療保健服務的領先私營供應商，擁有由私立醫院和附屬流動診所組成的網絡。目標公司現正進行私有化。
於認購事項完成後，公司將通過於Unicorn Holidng的有限合夥權益，間接擁有目標公司約0.18%股權，該項投資將在公司賬目內分類為可供出售金融資產，而目標公司不會成為公司的附屬公司。
於本公司訂立認購協議之同時，公司全資附屬杭州堃博於2021年12月6日與目標公司訂立戰略合作框架協議。根據戰略合作框架協議，杭州堃博與目標公司同意共同設立肺結節診療中心，利用和睦家作為平台，引進本集團的醫療器械、創新手術技術、疾病管理及專家資源。
目標公司擁有及經營和睦家。和睦家是在中國中高端醫療市場上知名的領先醫療保健供應商，擁有由私立醫院和附屬流動診所組成的網絡。目標公司的收入基礎乃市場上最大之一、在中國四個一線城市有廣泛的地域覆蓋，且在中國部分二線城市建立了互補的戰略覆蓋，是中國及國際上不斷增長的富裕患者羣體的首選品牌。
董事認為，公司可通過訂立認購事項，藉助和睦家在私人醫療保健市場上的聲譽及品牌名稱，深入中高端私人醫療保健市場，推廣公司的核心產品及醫療器械，並提升公司在目標公司經營的醫院和診所治療肺部疾病的專業知識。
