揚科集團(01460.HK)：履約擔保未獲達成及付款條件失效
格隆匯12月2日丨揚科集團(01460.HK)公佈，有關收購O2O Limited全部已發行股本(涉及發行可換股債券及承兑票據)。根據收購協議，透過由公司發行承兑票據的方式，1015萬馬來西亞令吉(相當於約1898.05萬港元)，即O2O Limited收購事項的代價的最後部分，須於完成日期後18個月內付款條件(K)達成時(即履約擔保已獲達成的證書時)支付予賣方。
由於COVID-19疫情，Chow Kit Baru的投運被推遲，Chow Kit Baru的租賃已停止，至今未有租金收入。因此，賣方並無達成履約擔保期的履約擔保。因此，收購協議訂約方同意付款條件(K)失效，而最終付款將獲豁免，本金額為1015萬馬來西亞令吉的承兑票據將不會發行予賣方。
董事會明白，由於自收購事項完成以來COVID-19疫情廣泛傳播及馬來西亞因應採取的行動管制措施令Chow Kit Baru的投運及租賃受到延誤，履約擔保未獲達成。儘管如此，董事會相信，隨着疫苗接種率的提高，COVID-19在全球及馬來西亞將很快得到緩解，因此目標集團的營運(包括Chow Kit Baru的租賃)將重回正軌，在可預見的未來，Chow Kit Baru的實體店將貢獻穩定的租金收入，而由於最終付款獲豁免，公司並無因收購事項的履約擔保未獲達成而蒙受重大損失。
