波司登(03998.HK)：擬與知名奢華運動時尚服飾供應商Bogner成立合資公司
格隆匯12月2日丨波司登(03998.HK)宣佈，於2021年12月1日，公司直接全資附屬公司波司登國際服飾有限公司("波司登服飾")與德國公司Willy Bogner GmbH & Co. KGaA("Bogner")訂立有關成立合資公司的合資協議。合資公司在中國內地、中國香港、中國澳門及中國臺灣("合資銷售地區")擁有獨家銷售及分銷BOGNER和FIRE+ICE服飾的權利。
合資公司包括兩個平行的公司架構，一個在德國及一個在亞洲：
1. 德國合資公司持有合資銷售地區註冊的服飾商標(即BOGNER及FIRE+ICE)("BOGNER商標")，波司登服飾及Bogner分別持有德國合資公司45%及55%的股權；
2. 亞洲合資公司主要負責在合資銷售地區的運營及市場拓展，總投資額約爲3080萬美元(相等於約人民幣2億元)。波司登服飾及Bogner分別持有亞洲合資公司55%及45%的股權；及
3. 德國合資公司授予亞洲合資公司在合資銷售地區獨家經銷、分銷、營銷及運營含有BOGNER商標的服飾。
據悉，Bogner是世界知名奢華運動時尚服飾供應商，1932年由專業滑雪運動員Willy Bogner sen.於德國成立，並由其兒子Willy Bogner jun.(知名奧運會滑雪運動員)進一步發展。Bogner總部位於德國慕尼黑，擁有的BOGNER和FIRE+ICE兩個品牌在全球50多個國家銷售。近90年來，BOGNER品牌在運動時尚方面始終保持熱情，以大膽獨特的創新手法，高品質的匠心工藝，賦予戶外運動全新體驗，成爲奢華運動時尚的全球市場領導者。
公告稱，集團專注羽絨服領域45年，與冰雪運動結下不解之緣，連續20多年助力中國登山及冰雪賽事，2006年，中國自由式滑雪空中技巧運動員韓曉鵬，身穿集團自主研製的專業滑雪服，獲得中國冬奧雪上項目首枚金牌。集團認爲，在2022北京冬奧會即將舉辦的關鍵節點，集團攜手專注滑雪服飾和奢華運動時尚領域近90年、在奢華運動時尚專業領域具有全球領先優勢的Bogner，共同進軍中國冰雪運動服飾和時尚市場，不僅能夯實集團"全球領先的羽絨服專家"發展方向，更將作爲增長新引擎提振集團中長期發展動能。集團相信，中國的高端運動時尚市場具有強大的增長潛力，Bogner在中國市場也將迎來重大機遇，波司登和Bogner對冰雪運動服飾和時尚事業共同的熱愛，一定能夠帶給中國消費者不一樣的冰雪運動穿着體驗。
