香港寬頻(01310.HK)擬出售新加坡及馬來西亞電訊服務業務企業控股權
格隆匯11月10日丨香港寬頻(01310.HK)公佈，於2021年11月10日，賣方(公司間接全資附屬公司)與買方訂立購股協議，據此，賣方已有條件同意向買方出售新加坡銷售股份及馬來西亞銷售股份，有關股份相當於各自目標公司(包括HKBN JOS Singapore及HKBN JOS Malaysia)已發行股本的60%，總代價約爲1,500萬新加坡元。
於完成後，(i)買方將擁有HKBN JOS Singapore已繳足及已發行股本的60%，而Malaren將擁有HKBN JOS Malaysia已繳足及已發行股本的60%；及(ii)目標公司將不再爲公司的附屬公司，而將成爲公司擁有40%權益的聯營公司。
於完成後，集團將不再控制在新加坡及馬來西亞從事提供資訊及通訊科技設備及方案業務的任何實體，而集團擬透過與目標股東的合營企業專注於在新加坡及馬來西亞建立此類業務。目標集團公司將由其各自地區的兩家領先電訊及科技方案公司共同經營，並使目標集團公司可憑藉其股東於各自地理區域的優勢，開拓更大的資源及人才儲備以及客戶羣。此舉將顯著提升目標集團公司的服務能力及商機。
此外，由於出售事項訂約方分別爲香港及新加坡的領先電訊服務供應商，故該戰略聯盟將爲彼等之間的協同合作提供充足機遇。訂約方已承諾於完成後彼此緊密合作，向彼等及彼等各自所在地的客戶提供一系列彼等所營運的電訊服務及科技方案，以實現彼等之間的交叉銷售及升級銷售協同效應。
