移卡(09923.HK)擬向鼎鼎文化旅遊(成都)注資1億元
格隆匯11月8日丨移卡(09923.HK)發佈公吿，2021年10月底，公司間接全資附屬公司深圳市樂售雲科技有限公司作為投資者與鼎鼎文化旅遊(成都)有限公司(“目標公司”)及其他參與方訂立投資協議，投資者據此(其中包括)同意注資人民幣1億元，作為目標公司註冊資本及資本儲備。收購後，投資者將持有目標公司經擴大股本60%。
目標公司於2020年5月成立，主要在中國提供美食、旅遊等相關到店電商服務。目標公司自成立以來通過“千千惠”品牌成功快速增長。於2021年10月，目標公司達到每月商品成交總額的最高紀錄超人民幣9300萬元。此外，截至2021年10月31日，目標公司累計付費客户超600萬名。
優質套餐供給能力。目標公司在中國擁有廣泛供應鏈拓展能力，截至2021年10月31日，其業務遍佈200多個城市，可助力公司加快擴大到店電商業務的SKU覆蓋範圍。
龐大的銷售網絡(微信)。截至2021年10月31日，目標公司在微信平台擁有超過300萬名註冊社區達人通過其關係網絡進行分銷，同時，截至2021年10月31日，微信公眾號關注者總計約達800萬名。龐大的銷售網絡可助力公司通過微信公眾號、微信小程序及移動應用等平台形成多矩陣的消費者沉澱和營運。
新媒體流量運營(抖音)。公司可充分結合自有的精準營銷業務能力及目標公司在抖音的網紅種草探店運營能力，大幅提升消費者在抖音線上平台的參與度。截至2021年10月31日止四個月，目標公司通過抖音短視頻和直播的方式的商品成交總額超過人民幣1億元。
公吿表示，公司相信收購事項將推動到店電商業務健康快速發展，並與支付及SaaS數位化解決方案等業務產生強大的協同效應。展望未來，到店電商業務將不斷助力商户提高收入，併為消費者提供更優惠、更便捷及高品質的服務。
截至2021年9月30日止九個月，公司的總支付交易量達到人民幣約1.56萬億元，同時活躍支付服務商户達到約627萬名。隨着公司生態系統的流量不斷增長，公司預料未來12個月的費率會維持相對穩定，而支付予分銷渠道的佣金會逐步減少。
