吉利汽車(00175.HK)擬進一步收購極氪股份持股升至54.47% 以搶佔高端電動汽車市場份額
格隆匯10月29日丨吉利汽車(00175.HK)公佈，作為在電動化及智能化汽車領域的行業領先者之一，公司已透過與吉利控股成立極氪開始從事研發、採購及銷售極氪品牌電動出行相關產品（如智能電動汽車）。此外，於2021年8月，極氪與五名獨立投資者訂立Pre-A購股協議，內容有關配發及發行Pre-A優先股的協議。
作為集團業務策略規劃的一部分，於2021年10月18日，公司與吉利集團有限公司訂立框架協議，據此，公司擬向吉利集團有限公司收購極氪2.2億股普通股，代價將由訂約方協定。
繼框架協議之後，於2021年10月29日，公司（作為買方）與吉利集團有限公司（作為賣方）訂立購股協議，據此，吉利集團有限公司有條件同意出售，而公司有條件同意購買或促使其提名人購買銷售的股份，佔於本公佈日期極氪已發行股本約10.34%（按已轉換基準）及極氪經擴大已發行股本約9.66%（按全面攤薄及已轉換基準）。
買方就收購事項應付的代價約為人民幣56億元。買方將以現金支付約人民幣18.07億元及按發行價每股代價股份港幣23.34元配發及發行1.96億股代價股份支付餘額的方式結付代價。
緊隨交割後，公司將於極氪已發行股本約58.31%（按已轉換基準）及極氪經擴大已發行股本約54.47%（按全面攤薄及已轉換基準）擁有權益。極氪將仍為公司的非全資附屬公司及其財務業績將繼續併入集團綜合財務報表中。
據悉，極氪為一間於開曼羣島成立的有限公司，於本公佈日期由公司間接擁有47.97%的權益。極氪由公司及吉利控股設立，合共出資人民幣20億元。極氪主要從事研發、採購及銷售極氪品牌電動出行相關產品（如智能電動汽車）以及提供相關服務。
公司表示，極氪品牌是本集團首個高端電動汽車品牌。與其他傳統汽車企業不同，極氪的運營具有高度的自主性，並充分整合吉利控股前期佈局和孵化的智能化和電動化技術。極氪戰略性佈局智能純電動汽車及其上下游產業鏈，通過數位化、智能化服務進一步提升使用者體驗和客户滿意度。極氪計劃專注於研發智能純電車型技術、三電技術、及其他智能電動車上下游相關前沿技術。
極氪於2021年三月成立，公司擁有其51%的股權彰顯了公司促進汽車電氣化的決心。極氪的首款汽車車型乃根據吉利控股擁有最先進的開源電動車架構開發，已於2021年四月面市。憑藉在汽車性能及能源補給系統的優勢，極氪首款汽車車型的市場需求超出預期，彰顯了極氪的品牌及產品實力。根據其目前的業務計劃，極氪正逐步推出新車型上市，旨在於全球高端電動汽車行業搶佔相當大的市場份額，預期於未來將為集團提供增長動力。
作為一間獨立運營的智能化汽車公司，極氪一直積極探索外部融資資源，以實現未來業務運營的可持續發展。一方面，Pre-A輪融資的五名獨立投資者均為極氪之戰略伙伴，且彼等加入極氪有助於提升極氪全方位覆蓋的經營理念。另一方面，成功進行Pre-A輪融資亦突顯行業對極氪長期發展的認可。為極氪尋求外部融資時，公司一直維持其作為極氪最大控股股東的地位，從而使股東利益最大化。
收購事項將可抵銷Pre-A輪融資及極氪未來其他潛在股權融資的攤薄效應，透過增加公司於極氪的股權有利於公司的整體發展。此外，發行代價股份作為代價的一部分彰顯控股股東對公司發展前景的信心，同時亦為業務經營儲備現金。
