棠記控股(08305.HK)擬2400萬港元購買Treasure Mark全部股權及折讓20%配售6500萬股
格隆匯10月19日丨棠記控股(08305.HK)公吿，於2021年10月19日，公司與賣方Precise Capital Global Limited訂立買賣協議，據此，公司有條件同意購買目標公司Treasure Mark Global Limited的全部股本權益，總代價為2400萬港元。代價的支付方式為：(i)1850萬港元通過按發行價每股代價股份0.10港元向賣方配發及發行合共1.85億股代價股份支付；及(ii)餘款550萬港元以現金支付。
同日，公司與配售代理訂立配售協議，公司擬按配售價每股配售股份0.10港元（較於配售協議日期每股股份0.125港元的收市價折讓約20.00%）配售最多6500萬股，相當於公司現有已發行股本約8.13%；及經配發擴大後公司已發行股本約6.19%。公司擬將配售事項的所得款項淨額約550萬港元悉數用於支付部分代價。
目標公司於2021年8月23日註冊成立。除了持有博建的全部股權外，目標公司並無經營任何業務。博建與集團從事相同的業務領域而客户羣與集團的不同。博建的客户羣主要是大型商業非政府實體，如辦公室、銀行、零售品牌、酒店及購物中心，而集團的客户羣主要是政府聯屬實體及非牟利機構，如一間主要業務為在香港經營鐵路的上市公司、一間賽馬及賽馬場娛樂營運商以及一間以香港為基地的主題公園營運商。收購事項將擴大集團的客户羣及專業領域，讓集團能夠提供更多元化及更全面的產品及服務，從而讓集團能夠更有效地與新客户磋商合約。
此外，博建擁有獲得及完成大型項目的經驗，並已完成多個單項合約金額超過一億港元的項目，而集團最大的單項合約金額約為4500萬港元。收購事項將為集團帶來從事更大型項目的經驗及往績。收購事項亦將讓博建可憑藉公司作為一間聯交所上市公司其中一員而在客户羣之中獲得更佳定位及謀劃進一步擴張。雖然博建近年來一直錄得虧損，但博建投入營運至今已逾20年，深得市場認可。如前所述，收購事項完成後亦會產生顯著的協同效應及潛在的成本削減機會，例如在行政成本、辦公場所、分包商及採購等各方面達到共同分擔和共享之效。
