安徽皖通高速公路(00995.HK)擬41.81億元收購安慶長江公路大橋公司100%股權及相關債權
格隆匯10月14日丨安徽皖通高速公路(00995.HK)宣佈，於2021年10月13日，公司與安徽交控集團訂立收購協議，據此，公司有條件同意收購目標公司股權及股東貸款，而安徽交控集團有條件同意出售目標公司股權及轉讓股東貸款。
收購目標公司股權的代價金額為人民幣22.10億元。收購股東貸款的代價為相等於下列的總和(A)股東貸款於2021年7月31日的尚欠金額(人民幣約19.71億元)；及(B)截至實際還款日期上述尚欠金額的利息，由3.85%至5.19%的適用年利率(即目標公司向安徽交控集團提取股東貸款相關部分時的適用利率)確定。公司擬通過銀行貸款融資支付總代價的不超過60%及通過內部現金資源支付總代價其餘部分。
目標公司乃指安徽安慶長江公路大橋有限責任公司，其主要在中國安徽省從事收費公路及橋樑的投資、經營及管理。目標公司目前擁有目標高速(安慶大橋及嶽武高速安徽段的統稱)的特許權。於該公吿發布日，目標公司為安徽交控集團的全資附屬公司，而於交割完成後，目標公司將成為本公司的全資附屬公司。
安慶大橋是安徽省的重要過江通道之一，對完善大橋兩岸國家幹線公路網和安徽省及安慶市的幹線公路網，緩解華東地區及沿海地區交通運輸緊張狀態，促進安徽省、安慶市資源的開發、經濟發展及旅遊事業發展，有着極其重要的意義。嶽武高速安徽段對加強安徽與湖北之間的交通經濟聯繫有重要意義，是連接中國中部地區和東部地區的重要高速公路。
