中國恆泰集團(02011.HK)：股東3.41億股公司股份被委任接管人 或觸發強制性全面要約 明日復牌
格隆匯10月11日丨中國恆泰集團(02011.HK)宣佈，公司已於2021年10月7日獲Chan Ho Yan先生(亦稱為Michael Chan先生)及D&P China (HK )Limited的Li Kin Long Kenny先生(以Kroll的身份交易)("接管人")通知，該等接管人乃由Noble Wisdom Ever Limited(中國華融資產管理股份有限公司的附屬公司，股份代號：2799)("債權人")透過債權人所簽署日期為2021年10月7日之三份接管人委任契約獲委任為公司約3.41億股股份("相關股份")共同及個別接管人，其中約1.25億股股份由Central Eagle Limited("Central Eagle")實益擁有(佔公司已發行股本的約26.98%)，約1.34億股股份由China Sun Corporation("China Sun")實益擁有(佔公司已發行股本的約28.77%)，82,342,606股股份由Golden Diamond Inc.("Golden Diamond")實益擁有(佔公司已發行股本的約17.71%)。相關股份佔公司於公吿日期之已發行股本約73.46%。
Central Eagle分別由執行董事兼董事會主席莊衞東先生擁有90%及由Wu Jinming先生擁有10%。China Sun由公司執行董事兼總裁邱傳智先生全資擁有。Golden Diamond由非執行董事林萍女士、公司執行董事兼副總裁麥融斌先生及Pan Lu女士分別擁有60%、25%及15%。
相關股份乃由Central Eagle、China Sun及Golden Diamond各自就債權人向Central Eagle、China Sun及Golden Diamond授出最高本金總額約5.47億港元之有抵押定期貸款融資質押，且以債權人為受益人("貸款")。
公司無法確定委任接管人的有效性。然而，由於相關股份佔公司於公吿日期已發行股本約73.46%，委任接管人可能導致相關股份出售予其他第三方買方，而倘任何買方連同其一致行動人士於有關股份收購後持有公司30%或以上投票權，則可能會根據收購守則觸發強制性全面收購要約。
據債權人所吿知，其正與第三方討論貸款及相關股份，可能或可能不會導致強制性全面要約。
此外，公司已向聯交所申請公司股份自2021年10月12日(星期二)上午九時正起於聯交所恢復買賣。
