阿爾法企業(00948.HK)獲莊舜而溢價約1.69%提收購要約 明日復牌
格隆匯10月4日丨阿爾法企業(00948.HK)公告，公司獲賣方Alpha Professional Development Limited（緊接完成前爲主要股東及控股股東）知會，於2021年9月29日，賣方與要約人華得投資有限公司訂立買賣協議，據此，賣方有條件同意出售而要約人有條件同意收購銷售股份，即1.78億股股份，總代價爲2.14億港元（相當於每股銷售股份1.2港元）。於本聯合公告日期，銷售股份佔公司全部已發行股本約56.61%。
緊隨完成後及於本聯合公告日期，要約人及其一致行動人士擁有1.92億股股份的權益，佔公司全部已發行股本約61.06%。因此，要約人須根據收購守則規則26.1就所有已發行股份提出無條件強制性現金要約。每股要約股份現金1.2港元，較9月29日收市價每股股份1.18港元溢價約1.69%。
要約人爲一間於2021年6月18日於香港註冊成立的投資控股有限公司，爲Miracle PlantDevelopments Limited的全資附屬公司，而Miracle Plant Developments Limited由莊舜而女士（要約人的唯一董事）全資擁有。
莊女士，M.H.，66歲，於2002年8月23日獲委任爲中國醫療網絡有限公司（股份代號：383）執行董事及主席，並自2015年12月16日獲調任爲中國醫療網絡副主席。莊女士於2011年7月1日獲香港政府頒授榮譽勳章(M.H.)。彼於2012年1月至2017年1月期間擔任中國人民政治協商會議廣東省委員會委員。彼於2005年9月獲委任爲中國紅十字基金會榮譽理事。彼爲仁愛堂莊舜而醫療基金（治療癌症）（於2007年成立）命名人，及自2008年起成爲仁愛堂莊舜而醫療基金（治療癌症）有限公司的董事。彼自2011年爲仁愛堂諮議局委員，並於2010年至2011年擔任仁愛堂第三十一屆董事局主席，於2007年至2008年擔任仁愛堂第二十八屆董事局副主席及於2006年至2007年擔任仁愛堂第二十七屆董事局董事。彼自2021年起爲港區婦聯代表聯誼會有限公司第七屆理事會名譽會長。彼於2007年7月6日至2016年3月1日爲亞太資源有限公司（股份代號：1104）執行董事及主席及於2007年6月25日至2009年4月23日擔任阿裏巴巴影業集團有限公司（股份代號：1060）非執行董事。
要約人擬繼續經營本集團現有業務。於本聯合公告日期，要約人並無計劃向集團注入任何資產或業務或促使集團收購或出售任何資產。於緊接要約結束後，要約人將對集團的財務狀況及營運進行審閱，以爲集團制定長期策略，並探索其他商業╱投資機遇，以增強集團的未來發展及鞏固集團的收入基礎。於本聯合公告日期，要約人尚未發現有關投資或商業機遇。要約人無意將公司私有化並計劃維持股份於聯交所的上市地位。
此外，公司股票將於2021年10月5日復牌。
