東嶽集團(00189.HK)擬對聯營公司海南固基注資1.52億元 保障原材料供應及加強供應鏈
格隆匯10月3日丨東嶽集團(00189.HK)宣佈，於2021年9月30日，公司全資附屬公司東嶽氟硅科技集團有限公司訂立注資協議，對海南固基投資合夥企業(有限合夥)("海南固基"，一家於中國成立之有限合夥企業及公司的聯營公司)進行金額爲人民幣1.52億元的注資。注資後，公司(作爲有限合夥人)於海南固基的注資金額將約佔其註冊資本的89.73%。
據悉，海南固基乃一家以自有資金從事投資活動的有限合夥基金，爲公司的聯營公司。其透過其附屬公司已向兩家工業硅公司(即四川樂山鑫河電力綜合開發有限公司及四川樂山川輝爐料有限責任公司(統稱爲"目標工業硅公司"))的註冊資本注資合共約人民幣1.82億元。海南固基的附屬公司持有目標工業硅公司各自約82%的股權。
注資款項將用於對目標工業硅公司投資，且海南固基及附屬公司可能會向目標工業硅公司作出進一步借款，注資和進一步借款(如有)將進一步推動目標工業硅公司擴增產能及減輕債務。
公告稱，目標工業硅公司已建成13臺冶煉礦熱爐，工業硅之年設計總產能約爲13萬噸。其他礦熱爐正在建設中，一旦完工，目標工業硅公司的工業硅之年設計總產能將進一步增至約23萬噸，根據市場研究，在中華人民共和國位列前三。目標工業硅公司主要由可再生能源提供電力。
注資後，目標工業硅公司擬按市場價格優先向公司的非全資附屬公司山東東嶽有機硅材料股份有限公司供應工業硅，以滿足其原材料需求。鑑於近期工業硅供應緊缺及其市場價格上漲，公司認爲，注資將保障集團的原材料供應及加強供應鏈，從而穩定生產、降低生產成本及提升集團相對於競爭對手之優勢。
