車市科技(01490.HK)採納首次公開發售後受限制股份單位計劃
格隆匯9月30日丨車市科技(01490.HK)公吿，公司於2021年9月30日採納首次公開發售後受限制股份單位計劃，據此，新計劃託管人將從供款金額中購買股份，而該等股份將根據首次公開發售後受限制股份單位計劃條款以信託方式為相關受限制股份單位獲甄選參與者持有，直至該等股份歸屬於相關受限制股份單位獲甄選參與者為止。
首次公開發售後受限制股份單位計劃旨在通過聚焦與本集團整體業績一致的核心關鍵業績指標推動本集團內部業績，委聘、吸引及留任熟練及經驗豐富的人員，以及通過為彼等提供認購本公司股權的機會以鼓勵彼等為本集團未來發展及壯大而努力。董事會認為，本公司股份當前成交價未能反映本公司的股份內在價值及本集團的業務前景，因此新計劃下從市場上購買股份亦可使受限制股份單位獲甄選參與者享受本集團的持續發展成果。
董事會可不時促使本公司或公司任何附屬公司應董事會的指示就購買股份以及根據首次公開發售後受限制股份單位計劃規則及2021年信託契據所載其他目的以結算方式或其他方式向2021年信託注入供款金額(構成2021年信託基金的一部分)。本公司將指示並促使新計劃託管人以市場價格自股東接收現有股份或購買現有股份(不論是否於市場上購買)以滿足根據首次公開發售後受限制股份單位計劃所授出者。根據首次公開發售後受限制股份單位計劃授出的受限制股份單位將不會導致股東股權出現任何攤薄。
首次公開發售後受限制股份單位計劃構成本集團激勵計劃的一部分，並不構成上市規則第十七章項下的購股權計劃或類似於購股權計劃的安排。
