中證國際(00943.HK)擬出售香港中證城市投資全部股份
格隆匯9月24日丨中證國際(00943.HK)公吿，就可能出售香港中證城市投資全部股份事項，於2021年9月24日，傑盛國際（公司全資附屬公司）、公司、香港匯金及前海中證訂立出售協議以使出售事項生效。出售集團（投資公司香港中證城市投資有限公司及其附屬公司）主要從事(i)中國河北省灤平縣一級土地開發；及(ii)位於中國南京市及東莞市的物業發展項目。
於2021年9月24日，公司、傑盛國際（作為賣方）、香港匯金（作為買方）及前海中證簽訂出售協議，主要條款載列如下：(i) 傑盛國際同意向香港匯金出售其於投資公司所持有的全部股權，即銷售股份；作為傑盛國際同意出售銷售股份的代價，香港匯金以現金向傑盛國際支付3.08億港元；前海中證轉讓承兑票據人民幣2億元予公司（作為傑盛國際代名人）以供註銷及抵銷；及金石及中證投資（由香港匯金及前海中證促使）向公司（作為傑盛國際代名人）轉讓第一次收購代價股份。（第一次收購代價股份佔公司現有已發行股份總數約18.08%）；及集團提供予出售集團於出售協議日期尚未償還本金總額約1.39億港元的出售集團貸款，及截至還款日期的應計利息須於完成日期起計兩個月內償付。
於完成後，投資公司將不再為公司附屬公司，而出售集團旗下成員公司財務業績將不再於集團的財務報表綜合入賬。緊隨完成後，傑盛國際與公司將按集團綜合基準抵銷或以其他方式對銷及註銷承兑票據，而公司將遵守適用法例、規則及規例的規定購回及註銷第一次收購代價股份（作為公司進行的股份回購）。
公司擬按下列方式動用所得款項現金淨額共4.4億港元（不包括將與出售集團貸款本金額一併償還的應計利息），當中(i)2.5億港元用於償還公司結欠Lim先生（主要股東兼非執行董事）的公司債務；(ii)1.1億港元用於發展集團的保健及家庭用品業務；(iii)2000萬港元用於償還餘下集團的部分借貸；及(iv)餘額6003萬港元用於一般營運資金或償付公司債務的未付應計利息。公司就出售集團貸款應付的應計利息將予收取的金額將用作餘下集團的一般營運資金。
董事會認為出售事項對集團而言乃屬審慎及適當的舉措。透過有效解除第一次收購事項及第二次收購事項，該等交易將使公司能夠消除與出售集團當前業務環境不確定性相關的風險，並將其財務資源重新分配至餘下集團的業務。因此，總括而言，董事認為出售事項有利於公司及其股東，並符合公司及其股東的整體最佳利益。於完成後，餘下集團將主要從事製造及銷售保健及家庭用品、放債業務及煤礦開採業務。
