銀之傑(300085.SZ)：擬與中國碳中和投設中碳銀之傑科技
格隆匯9月17日丨銀之傑(300085.SZ)公佈，公司於2021年9月17日與港交所主板上市公司中國碳中和發展集團有限公司(“中國碳中和”，代碼01372.HK)簽署《投資協議》，公司擬與中國碳中和(或其全資子公司)共同投資設立中碳銀之傑科技發展(深圳)有限公司(暫定名，以工商部門核定為準，“合資公司”)，合資公司註冊資本暫定為1000萬元。其中，公司以自有資金出資500萬元，持有合資公司50%股權。
合資公司主營業務：在國家“雙碳”戰略背景下，利用雙方在各自行業領域的專業能力，從事碳中和大趨勢下碳管理、碳金融領域的科技創新和技術服務。具體包括：為金融機構實現自身運營碳中和提供解決方案與數字化系統支持；為金融機構的綠色金融產品和服務提供數字化系統支持；研發企業普遍適用的碳資產管理、碳核算、碳審計等數字化工具系統，為企業以及金融機構、政府構建的碳管理運行體系提供技術支持和服務。
合資公司經營範圍：軟件開發；軟件銷售；軟件外包服務；大數據服務；區塊鏈技術相關軟件和服務；數據處理和存儲支持服務；信息系統運行維護服務；信息技術諮詢服務；信息系統集成服務；合同能源管理；環保諮詢服務；企業管理諮詢。
合資公司將主要從事碳中和大趨勢下碳管理、碳金融領域的科技創新和技術服務。具體包括：為金融機構實現自身運營碳中和提供解決方案與數字化系統支持；為金融機構的綠色金融產品和服務提供數字化系統支持；研發企業普遍適用的碳資產管理、碳核算、碳審計等數字化工具系統，為企業以及金融機構、政府構建的碳管理運行體系提供技術支持和服務。
此次與關聯方共同投資設立合資公司，能夠充分整合投資雙方的資金、技術、客户資源、行業經驗、人員等優勢，實現在“碳達峯碳中和”領域的深度合作和產業佈局，符合公司戰略規劃，有利於進一步拓寬公司的產品應用領域，培育公司新的業務增長點，提升公司綜合競爭力，支撐公司長期穩健發展。
