國電科環(01296.HK)：龍源環保與南方匯通達成戰略合作並擬認購後者2500萬股新股
格隆匯9月15日丨國電科環(01296.HK)公佈，為落實集團與南方匯通在反滲透膜、納濾膜及超濾膜等產品的研發、生產、銷售方面的全方位合作，於2021年9月15日，龍源環保(公司的非全資附屬公司)與南方匯通簽署戰略合作協議。雙方於同日亦訂立了認購協議，據此，龍源環保同意認購及南方匯通同意發行2,500萬股目標股份，每股目標股份認購價格人民幣8.15元，總認購金額為人民幣20,375萬元。
根據合作協議，訂約雙方同意在反滲透膜、納濾膜及超濾膜等產品的研發、生產、銷售方面展開全方位合作，包括：(1)通過多種方式實現南方匯通反滲透膜等產品、技術、服務在國家能源集團市場的進一步拓展；(2)通過多種方式將龍源環保中空纖維超濾膜產品、技術、服務成功導入南方匯通及相關客户領域，並帶動龍源環保中空纖維超濾膜業務規模增長；(3)利用龍源環保在環保工程方面的經驗和管理能力，雙方可共同向客户(包括國家能源集團)提供膜法水處理整體解決方案；及(4)在各方條件允許情況下，雙方可共同開發客户資源，發揮各自優勢，逐步探索其他業務合作機會。
據悉，南方匯通為一家於中國註冊成立的股份有限公司，註冊資本人民幣42,200萬元，主要業務為膜分離材料研發、製造、膜分離技術解決方案，並以植物纖維綜合利用為輔業務。其股份於深圳證券交易所上市。其母公司為中國中車集團有限公司之附屬公司，中車產業投資有限公司(一家於中國註冊成立的有限公司)。
公司認為簽署戰略合協議可使龍源環保與南方匯通建立長遠的戰略合作關係，通過南方匯通的技術實力彌補龍源環保在高端製造方面的短板，開拓一個嶄新的市場，形成新的盈利增長點。龍源環保亦可介入反滲透膜的技術和生產，加強其在水處理領域的核心能力，拓展國家能源集團涉水市場資源。最大化實現市場和技術優勢的深度互補，加快龍源環保在膜分離材料及技術應用的拓展和突破。另外，透過與南方匯通訂立認購協議，可加強兩者之聯繫，而此與集團之整體業務發展策略相符。
