卓航控股(01865.HK)擬1400萬港元收購富匯證券85%股份
格隆匯9月13日丨卓航控股(01865.HK)公告，於2021年9月13日，買方Jumbo Harvest Group Limited(公司直接全資附屬公司)與賣方建泉國際控股有限公司訂立收購協議，據此，買方有條件地同意收購且賣方有條件地同意出售目標公司富匯證券有限公司85%股份，代價爲1400萬港元。
賣方爲於開曼羣島註冊成立的公司，其股份於聯交所GEM上市(股票代號：8365)。該公司主要從事提供(i)企業融資諮詢服務；(ii)配售及包銷服務；(iii)證券經紀及保證金融資；(iv)資產管理服務；及(v)商業諮詢服務。
目標公司爲於香港註冊成立的有限責任公司。於公告日期，目標公司由賣方全資擁有，及獲證監會發牌可從事證券及期貨條例項下第1類(證券交易)及第4類(就證券提供意見)受規管活動。
於完成後，買方將擁有目標公司全部已發行股的85%，及目標公司將成爲公司的間接非全資附屬公司，且目標公司的財務業績將於公司的財務報表內綜合入賬。
公司爲投資控股公司，而集團主要從事(i)提供基礎設施管道建設及相關工程服務，服務對象以於新加坡的燃氣、水務、電訊及供電行業爲主；及(ii)建材貿易。爲多元化集團的現有業務組合，並擴濶其收入來源，董事一直在審查金融服務行業的市況，並認爲收購事項將可令集團涉足金融服務行業，並令收入來源多樣化，從而增加股東的價值，令公司及其股東整體受益。
