吉利汽車(00175.HK)擬5000萬美元認購億咖通股份 助力公司打造智能技術生態
格隆匯9月7日丨吉利汽車(00175.HK)發佈公吿，於2021年9月7日，公司與億咖通及億咖通股東持份者訂立認購協議。根據認購協議，公司同意認購，而億咖通同意發行及配發432.15萬股B系列優先股，認購價為每股B系列優先股11.57美元，現金代價約為5,000萬美元。
於訂立認購協議後，公司將與（其中包括）億咖通、億咖通股東持份者及優先股股東訂立投資者權利協議，其中載有將授予優先股股東及公司的若干權利。於完成認購事項後，B系列優先股將相當於億咖通按已轉換基準的發行在外股份總數約1.51%。
億咖通為一間於2016年成立的汽車智能化科技公司。億咖通核心產品包括智能座艙系統、高階自動駕駛系統、整車中央計算機系統、相關的核心芯片模組、操作系統及全棧軟件能力，此外，億咖通持續開發一個擁有SoC及操作系統的全棧計算機平台，賦能汽車公司創造更為智能及安全的移動體驗。
於本公佈日期，億咖通股東包括(i)李書福先生、李東輝先生及安聰慧先生的投資控股公司，即銘豪集團有限公司、Orient Sunrise Ltd.及Datian Holding Ltd.，分別持有億咖通按已轉換基準的發行在外股份總數約49.51%、0.77%及1.12%；(ii)Jie&Hao Holding Limited, 沈子瑜先生（億咖通聯合創始人之一）的投資控股公司，持有億咖通按已轉換基準的發行在外股份總數約7.18%；(iii)Shine Link Venture Limited，一間為員工持股而設立的公司，持有億咖通按已轉換基準的發行在外股份總額約13.57%；及(iv)優先股持有人，包括其他機構投資者、投資基金、技術企業及獨立投資者擁有的投資公司。
公司表示，億咖通為一間汽車智能化科技公司。公司認為汽車智能將成為全球汽車行業發展的主流趨勢之一。作為一家汽車智能全方位解決方案提供商，億咖通有能力提供片上系統、計算機系統、駕駛艙操作系統、軟件及自動駕駛，其提供汽車智能相關產品及服務，包括汽車核心芯片模組、端對端汽車智能駕駛艙解決方案、汽車智能軟件及生態產品等。
公司預期億咖通於日後將扭虧為盈，此乃得益於國內汽車智能服務的需求強勁。目前，市面上覆蓋全方位汽車智能產品及服務的智能解決方案提供商寥寥無幾。公司認為認購事項將為公司提供涉足汽車智能服務領域的寶貴機會，亦符合公司打造智能技術生態的長期策略。
