四川成渝高速公路(00107.HK)擬剝離房地產業務優化資產結構 涉資不超19.45億元
格隆匯8月17日丨四川成渝高速公路(00107.HK)發佈公吿,2021年8月16日,公司與四川交投地產訂立股權及相應股東借款轉讓協議,據此,四川交投地產同意購買待售股權及待售貸款,現金總代價為不超過約人民幣18.582億元;及公司直接全資附屬公司成都蜀鴻與四川交投地產訂立資產轉讓協議,據此,四川交投地產同意購買待售資產,現金總代價為不超過約人民幣8700萬元。
根據股權及相應股東借款轉讓協議的條款及條件,四川交投地產同意購買待售股權,即仁壽置地的91%股權;及待售貸款。仁壽出售完成後,仁壽置地將不再為公司附屬公司,四川交投地產將持有仁壽置地100%股權。待售貸款本金及其截至該公吿日期止應計及未付的利息總金額共計約為人民幣13.299億元。
根據資產轉讓協議的條款及條件,四川交投地產同意購買待售資產。待售資產包括一項於有關土地名為“鴻瑞國際廣場”的辦公樓及車位在建房地產項目。鴻瑞國際廣場項目於2020年3月正式開工建設,總建築面積約2.49萬平方米,於該公吿日期,1、2、3號樓主體結構已完成,預計整個項目竣工時間為2021年11月。蜀鴻出售完成後,與待售資產相關的所有權及經營權將轉讓予四川交投地產。
仁壽置地為公司的直接非全資附屬公司,其業務範圍包括房地產開發經營等。仁壽置地持有的相關資產主要包括在中國持作銷售用途╱發展中╱未來發展的物業。持有待售物業為四川省眉山市仁壽縣文林鎮城北新城北方王朝一期及2A期的未售出部分,總建築面積約為21.27萬平方米,主要包括零售單位及車位。持作開發中物業為北方王朝2B-2C期,總建築面積約為53.88萬平方米,主要包括住宅單位、零售單位及車位。持作未來發展物業為北方王朝三期,總佔地面積約為20.02萬平方米。
公吿表示,該等出售事項能夠剝離投資週期長、投資額較大且利潤率較低的房地產業務,從而優化集團資產結構,聚焦主營業務,提高資源利用效率。該等出售事項完成後,集團將不再從事任何物業開發及投資業務。該等出售事項的估計所得款項合計不超過約人民幣19.452億元,將用作公司的營運資金,以增強集團營運穩健性。
