福萊特玻璃(06865.HK)：此次戰略合作協議約定的相關採購量、採購價均存在不確定性
格隆匯8月2日丨福萊特玻璃(06865.HK)公佈，公司於2021年7月31日披露了《關於簽訂重大合同的公吿》(公吿編號：2021-080)，現對相關風險提示如下：
一、本次簽訂的合同為《戰略合作協議》，具體執行存在不確定性
1.本次簽訂的合同為《戰略合作協議》，相關採購量、採購價格均存在不確定性，後續合同的具體執行以實際訂單為準。
2.未來合同履行過程中如果遇到外部宏觀環境重大變化、國家有關政策變化、客户需求變化、原材料價格的大幅波動以及其他不可預見或不可抗力等因素，有可能會導致合同無法全部履行。敬請投資者注意投資風險。
二、合同中採購數量僅為預測數據，實際採購量存在不確定性
公司於2021年7月31日公吿的預計銷售量，是基於晶澳太陽能科技股份有限公司(以下簡稱"晶澳科技"或"買方")未來三年的經營需要按照25%-30%的比例預估的數據，由於市場不穩定因素較多，買方每個季度更新未來3個月的需求預測，如公司收到買方需求預測後未提出異議，視為滿足買方需求，如波動變化較大，超出公司的供應量，公司應及時書面吿知買方，雙方合理協商解決。故本合同的採購量僅為預測數據，實際採購量存在不確定性。
根據《戰略合作協議》，除不可抗力及公司產品質量問題，以及買方產品市場需求減少導致的停產、減產等情形外，原則上買方應當按照預估採購量及約定比例進行採購。但上述採購量及約定比例並未約定違約責任，由於市場不穩定因素較多，買方實際採購量能否達到預期存在不確定性，對於公司各季度的收入影響存在不確定性。
三、相關定價按月協商，實際成交價格存在不確定性
買賣雙方根據市場情況每月協商確定產品價格，受宏觀環境變化及原材料價格波動等影響，實際成交價格存在不確定性。此外，若因價格未達成共識，致使本合同無法繼續履行的，雙方可不受上述約定採購量或採購比例的限制。
四、公司實際產生的營收和利潤存在不確定性
綜上，本次《戰略合作協議》約定的相關採購量、採購價均存在不確定性，由此，公司執行本合同實際能產生的營收和利潤存在重大不確定性。
