越秀地產(00123.HK)附屬擬22.93億元收購廣州市海珠區土地 以加強公司核心房地產業務
格隆匯7月23日丨越秀地產(00123.HK)發佈公吿,於2021年7月23日,買方廣州越秀華城房地產開發有限公司(公司附屬公司)與賣方廣州越秀集團股份有限公司(公司控股股東)訂立股權轉讓協議,據此,賣方同意出售及買方同意購買目標公司廣州市佰城投資發展有限公司(擁有項目土地)98%股權,股權轉讓代價約為人民幣18.74億元。
此外,於完成起計60個營業日內,買方亦應向目標公司注資約人民幣4.19億元的還款金額,用於向賣方支付應付金額,總代價約為人民幣22.93億元。完成後,買方將擁有目標公司98%股權。目標公司由賣方擁有98%權益。
目標公司主要從事物業開發及投資,包括開發項目土地。其為項目土地業權的唯一法定及實益擁有人。項目土地位於中國廣州市海珠區工業大道南大幹圍12號、1號(地塊二)。項目土地的總佔地面積為62,578平方米及計容建築面積為389,813平方米。項目土地將發展作商業用途,包括公寓、零售、購物中心、配套設施及地庫。
公司表示,項目土地位於中國廣州市海珠區工業大道南大幹圍12號、1號(地塊二),總土地面積為62,578平方米,具備極佳地理優勢。項目土地所在的海珠區為廣州核心區之一,擁有發展完備的優質生活設施及運輸系統。項目土地周邊三個地鐵站(廣佛線石溪站、南洲站,2號線南洲站,以及10號線大幹圍站)環伺,可快速直達廣州核心商業區。鑑於廣州房地產市場健康穩健以及項目土地的質素,項目土地的開發前景可期。
此次收購可為集團新增計容建築面積約389,813平方米,有利於加強公司核心房地產業務,並鞏固集團在廣州房地產市場的領先戰略地位,深化集團深耕大灣區,發展華東、華中、北方及西南地區的全國性區域佈局戰略。因此,董事認為通過收購事項收購於項目土地的權益符合集團的利益。完成後,目標公司將由買方擁有98%權益,其財務業績將併入集團的綜合財務業績,且預期將對集團整體營業收入帶來貢獻。
