齊屹科技(01739.HK)擬4.32億元轉讓三明市齊家網、上海正軼及福建齊屹全部股權
格隆匯7月22日丨齊屹科技(01739.HK)公吿,於2021年7月22日,公司間接全資附屬公司上海齊煜(作為轉讓人)與(其中包括)獨立第三方Vanadium Diamond(作為受讓人)訂立股權轉讓協議,據此,上海齊煜同意轉讓而VanadiumDiamond同意受讓三明市齊家網、上海正軼及福建齊屹各自全部股權,總代價為人民幣4.32億元。
於公吿日期,上海今傑分別由三明市齊家網、上海正軼及福建齊屹擁有49%、32%及19%,而上海今傑全資擁有該土地。
上海齊煜為一家在中國成立的有限公司,併為公司的全資附屬公司。公司在開曼羣島註冊成立為有限公司,其股份於聯交所主板上市。公司為中國領先的室內設計及建築SaaS服務平台。
第08-08號地塊位於中國上海市嘉定區江橋鎮北虹橋社區,東至金園一路,西至基地邊界,南至李沙河、基地邊界,北至基地邊界,總用地面積為19,255.2平方米,地積比率不多於2.7,地上建築面積不多於51,989平方米。該土地將作商業用途,且該土地的土地使用權為40年。
集團主要在中國從事營運室內設計及建築SaaS服務平台以及自營室內設計及建築業務。誠如公司日期為2018年10月23日的公吿所詳述,鑑於集團的主要業務並非土地開發,集團此後積極物色開發商進行合作或外包以開發該土地。
由於集團於物色有意願合作開發該土地的開發商時遇到困難,集團已與VanadiumDiamond就轉讓事項進行真誠磋商,以便以適宜專長開發及管理該土地。
此外,集團將自轉讓事項獲得溢價,與公司於當前市況下的戰略性貨幣化計劃相符。公司可集中資源及專注於經營室內設計及建築SaaS服務平台及自營室內設計及建築的主營業務。
