WAC HOLDINGS(08619.HK)擬收購奧思室內設計23.4%股權及最多收購其額外6.6%股權的選擇權
格隆匯7月12日丨WAC HOLDINGS(08619.HK)發佈公吿，2021年7月9日，公司、買方與賣方(即Alpha Generator Limited)訂立協議，據此，賣方同意出售目標公司(即OPS Holdings Limited)已發行股本的23.4%，代價為1825.2萬港元。
代價將透過於完成時向賣方配發及發行1.92億股代價股份償付。代價股份相當於現有已發行股份總數的約20.00%；及經配發及發行代價股份擴大的已發行股份總數的約16.67%。代價股份的發行價(即約0.095港元)約等同於協議日期收市價0.095港元。
根據協議，賣方已額外及有條件向買方授出可向賣方進一步收購目標公司最多6.6%股權的權利，買方可於完成後2年內全權酌情行使該權利，代價最高為514.8萬港元或按比例計算的金額(倘部分行使)。
目標公司為一間於英屬處女羣島成立的投資控股有限公司。據賣方吿知，於2021年6月成立目標公司純粹是為持有目標香港附屬公司(即奧思室內設計顧問有限公司)，且於該公吿日期其直接持有目標香港附屬公司的全部股權。據賣方確認，目標公司自其成立起開展的業務活動有限。目標香港附屬公司(即目標公司的營運附屬公司)為一間於香港成立的有限公司，為一名香港室內設計及裝修服務提供商。設計工作由其內部設計師進行，而裝修工作則外判予分包商，分包商接受其主管項目管理團隊的管理及監督。
