錦江資本(02006.HK)附屬擬4309萬元收購一機遊合計100%股權
格隆匯7月5日丨錦江資本(02006.HK)發佈公吿，於2021年7月5日，公司附屬公司錦江在線與錦國投、齊程網絡、奇創旅遊、上海城推及錦磊企管簽署了股權轉讓協議。據此協議，錦國投、齊程網絡、奇創旅遊、上海城推及錦磊企管同意出售且錦江在線同意收購一機遊合計100%股權，現金對價合計為人民幣4309萬元。本次交易完成後，一機遊將成為公司附屬公司錦江在線的全資附屬公司。
一機遊為一家於中國註冊成立的有限責任公司。一機遊主要從事計算機網絡工程、計算機軟硬件開發、維護、計算機系統集成、軟件設計，計算機、信息科技領域內的技術開發及其他相關業務。
董事會認為，根據公司的戰略發展規劃及產業整合方向，公司將依託智能化、數字化、在線化技術，連接和協同集團內相關產業鏈優勢資源，線上線下融合，打造一站式生活服務平台。通過此次收購，有助於公司引入相關業內較為成熟的平台系統及其用户和營運體系，加快推進集團在線平台建設。本次交易完成後，集團可以形成與一機遊之間的資源互補，一機遊的游上海APP可以融入集團錦江在線APP及小程式的線上銷售渠道，更加充分地利用集團的優質資源。
游上海APP的註冊用户及客户可以迅速的轉化為錦江在線APP和小程式的註冊用户及客户，有利於集團錦江在線APP和小程式的推廣和市場拓展。同時，通過此次收購一機遊股權，有助於集團管理團隊的協同，優化團隊之間的溝通機制，提高公司的運營效率。
