錦江資本(02006.HK)擬3.51億元收購Keystone剩餘全部股權
格隆匯6月29日丨錦江資本(02006.HK)公佈，於2021年6月29日，公司附屬公司錦江酒店與Fortune NewsInternational Limited(由鄭先生最終全資持有)及鄭先生簽署了股權轉讓協議，據此協議，錦江酒店以現金對價人民幣3.51億元收購Fortune NewsInternational Limited持有的3.49825%的Keystone股權。此次交易完成後，錦江酒店對Keystone的持股比例將由96.50175%上升至100%。
據悉，Keystone為一間於2012年12月12日在開曼羣島註冊成立的投資控股有限公司。Keystone專注體驗消費領域，在中國酒店業首倡"品牌先行"理念，基於消費者的價值訴求、內心喜好來打造及運營品牌。目前，鉑濤體驗生活圈涵蓋了近20個品牌，聯合本公司擁有1.5億會員，覆蓋全國470多個城市。
Keystone集團核心業務主要是以7天為主的經濟型酒店業務(包括7天，優品，IU,Π品牌，超過2,000家酒店)，以及目前大力發展的中高端品牌加盟酒店業務。七天酒店(深圳)有限公司主要經營原有直營店(租賃業務)，七天四季酒店(廣州)有限公司主要開展加盟業務；中端和創新品牌以品牌合資平台作為培育孵化器。
董事會認為，通過本次股權結構調整，能進一步整合公司資源，增強對附屬公司的控制力度，提高決策效率，降低管理成本，有利於公司組織架構、業務劃分的清晰化，有助於為公司未來戰略發展規劃。
