愛帝宮(00286.HK)：出售廣東科綠、廣東豐源的股權 加強對核心業務分部的關注
格隆匯6月20日丨愛帝宮(00286.HK)公佈，公司於2021年6月18日與趙先生訂立股權轉讓協議，以出售集團以下持有實體的全部股權，即(i)廣東科綠生物醫藥科技有限公司(“廣東科綠”，連同廣東豐源，統稱“目標公司”)的51%股權；及(ii)廣東豐源的22.72%股權，總代價為人民幣6200萬元。
出售事項完成後，公司將不再持有目標公司的任何權益，且廣東科綠的財務業績將不再併入公司的綜合財務報表。預計集團將在綜合利潤表中確認因出售目標公司產生的出售收益合計約人民幣730萬元，集團確認因出售事項產生的收益的實際金額將以公司核數師進行最終審計為準。
公吿日期，公司獲悉，廣東豐源已完成截至2020年12月31日止年度的財務業績審計，其實際淨利潤金額約人民幣1410萬元，低於2020年的淨利潤保證約人民幣2390萬元。根據與廣東豐源科創生物科技有限公司的補充協議，如按相關公式計算，集團無需進一步支付對價便可獲得廣東豐源約47.5%股權。
儘管如此，鑑於當前市況、目標公司業務表現予2021年上半年進一步下滑及目標公司業務前景的不確定性，進一步收取趙先生持有廣東豐源的股權未必對集團有利。經公司與趙先生公平磋商，同意向趙先生出售已出售權益以獲取現金代價。董事會認為，收取有關現金代價可增強集團現金狀況並透過變現有關出售的收益改善集團流動資金，及進而向集團提供重新分配資源的機會。董事會認為，與補充協議項下的原始補償安排相比，出售事項的條款屬公平合理，且符合公司及股東的整體利益。
如六月公吿所述，新冠疫情給集團2020年的發展帶來挑戰，非核心業務錄得重大虧損。廣東科綠從事薯蕷根提取物技術商業化應用及生產研究，廣東豐源從事醫藥產品研發及生產。彼等各自的業務受到新冠疫情大流行的嚴重影響。截至2020年12月31日止年度，醫療抗衰老及健康產業投資的收益約1520.9萬港元，較2019年減少約7091.5萬港元。相關的商譽、無形資產和聯營公司權益因此大幅減值。截至2020年12月31日止年度，集團就廣東豐源已確認約2254.9萬港元聯營公司權益減值虧損。
誠如2020年年報所披露，集團有意加大對月子服務業務的發展力度，因為該分部對集團的銷售及利潤表現有很大貢獻。董事會認為，出售事項將加強集團對其核心業務分部的關注，並減少非核心業務可能進一步帶來的不利影響，而董事認為，出售事項將改善現金流和集團整體財務狀況，從而為股東創造更大價值。
