建泉國際控股(08365.HK)斥4,000萬元收購雅博集團國際 溢價11.1%發行代價股份及CB支付
建泉國際控股(08365.HK)公布,斥4,000萬元收購雅博集團國際全部已發行股份,其中1,000萬元將以發行及配發5,000萬股代價股份之方式支付,其餘3,000萬則以發行可換股票據之方式支付,若獲悉數行使將發行及配發合共1.5億股換股股份,相關股份分別佔公司擴大後股本8.88%及21.03%。
代價股份發行價及可換股票據之兌換價均為0.2元,較公司上一個交易日收市價溢價11.1%。
收購業務於香港從事提供環境、社會及管治顧問服務、公司秘書服務、會計及稅務服務、風險管理及內部監控顧問服務、招聘代理服務,及資訊科技服務。
