弘陽地產(01996.HK)引入投資者武漢大本營 主控開發廣州白雲住宅項目

格隆匯6月10日丨弘陽地產(01996.HK)宣佈,於2021年6月10日,廣州弘裕(公司間接全資附屬公司)與廣州招商、武漢大本營及項目公司(廣州招贏房地產有限責任公司)訂立合作開發協議,據此,武漢大本營同意透過轉讓以及向項目公司注入註冊資本及資本儲備的方式,收購項目公司合共33%股權。

於公吿日期,項目公司的註冊資本為人民幣1000萬元,並由廣州招商及廣州弘裕分別持有60%及40%權益。於該轉讓完成後,項目公司將由廣州招商、廣州弘裕及武漢大本營分別持有60%、34%及6%權益。根據合作開發協議,廣州招商、廣州弘裕及武漢大本營將各自向項目公司之註冊資本及資本儲備分別注入金額不少於人民幣5.94億元、人民幣6.12億元及人民幣5.94億元。於增資完成後,(i)項目公司的註冊資本將由人民幣1000萬元增加至不少於人民幣1億元,並將由廣州招商、廣州弘裕及武漢大本營分別持有33%、34%及33%權益;及(ii)項目公司將成為公司的附屬公司(而非聯營公司),乃由於廣州弘裕將控制項目公司董事會大多數成員之組成。該交易構成收購項目公司為公司的附屬公司,而項目公司的財務業績將於集團的綜合財務報表內綜合入賬。

據悉,項目公司為廣州招商及廣州弘裕於2021年5月7日在中國成立的有限責任公司,唯一目的為開發該地塊,而該地塊位於中國廣東省廣州市白雲區石門街朝陽聯新東街AB2401065、AB2401073、AB2401076地塊。該地塊的佔地面積為88,941平方米,指定用作住宅用途,為期70年。該地塊擬發展為住宅物業。

公吿稱,集團深耕長三角,並進行全國化佈局的綜合性房企。公司採用"做透大江蘇,深耕都市圈,做強中心城"的投資戰略,大灣區都市圈作為公司重點佈局區域。廣州弘裕於合作開發協議項下的建議投資符合公司的區域佈局策略。

項目公司(於緊接增資完成前為公司之聯營公司)乃集團對於中國廣東住宅項目開發的投資之一。公司認為有關訂立合作開發協議的投資為合適的機遇,以讓集團在廣州市及大灣區進一步拓展,建立和合作方的良好合作關係。預期有關投資將增加集團在廣州市的市場份額,並加強集團的全國佈局,從而將提高集團於中國(尤其大灣區)市場的競爭力。
