天津创业环保股份(01065.HK)拟对阜阳创业水务增资6578.02万元
格隆汇 4 月 30日丨天津创业环保股份(01065.HK)发布公告，日前，公司中标界首市污水处理PPP项目(第三批)。本项目由界首市人民政府授权界首市住建局实施，按招标文件要求，中标社会资本须设立独资PPP项目公司，以实施本项目。鉴于公司在界首为实施首批项目及二批PPP项目已设立了界首市创业水务有限公司(以下简称“界首公司”)，经与政府方谈判，本次无需新设项目公司，继续由界首公司作为项目公司实施，负责本项目的投融资、建设及运营维护工作。
本项目中标后，由公司与界首市住建局草签《界首市污水处理PPP项目(第三批)合同》，待草签协议后由界首公司承接公司与界首市住建局签署的《PPP项目合同》项下的全部权利和义务，并签署《承继协议》。本项目总投资预计人民币21,925.84万元，项目资本金为6,578.02万元(占项目总投资的30%)，拟由界首公司唯一股东阜阳创业水务有限公司(以下简称“阜阳公司”)向其增资解决，剩余建设资金由界首公司通过银行借贷等方式解决。
阜阳公司是公司全资子公司。鉴于阜阳公司目前不具备向界首公司增资的条件，公司拟先行向阜阳公司增资，再由阜阳公司向界首公司进行增资。经审议，董事会认为投资界首市污水处理PPP项目(第三批)，有利于公司水务业务发展，同意公司向阜阳公司增资人民币6,578.02万元，由阜阳公司向界首公司增资人民币6,578.02万元，用于其投资建设实施界首市污水处理PPP项目(第三批)，并授权董事/总经理具体实施。
