中國平安與各方簽署方正集團重整投資協議
4月30日，中國平安發佈《關於參與方正集團重整進展的公吿》，公司第十二屆董事會第三次會議審議通過中國平安人壽保險股份有限公司(以下簡稱"平安人壽")簽署《北大方正集團有限公司管理人與珠海華髮集團有限公司(代表珠海國資)、中國平安人壽保險股份有限公司、深圳市深超科技投資有限公司與北大方正集團有限公司、北大方正信息產業集團有限公司、北大醫療產業集團有限公司、北大資源集團有限公司、方正產業控股有限公司之重整投資協議》(以下簡稱"《重整投資協議》")的相關決議。中國平安授權平安人壽代表公司參與本次重整。
根據《重整投資協議》，重整主體以除方正微電子全部權益以外的保留資產出資設立新方正集團，整體出售給投資者。根據重整主體的債權人對債權清償方案的選擇情況，平安人壽與華髮集團(代表珠海國資)將按7：3的比例受讓新方正集團不低於73%的股權，不超過27%的新方正集團股權將抵償給選擇以股抵債受償方案的債權人，重整主體持有的方正微電子全部權益由深超科技或其指定主體單獨承接。本次重整投資者最終支付對價金額及持股比例取決於債權人受償方案選擇情況，其中平安人壽將以370.5—507.5億元對價受讓新方正集團51.1%—70.0%的股權。
本次重整尚需履行相關審批程序。
深化醫療健康產業戰略佈局 加速構建醫療健康生態圈
近年來，中國平安聚焦大金融資產、大醫療健康，全面構建醫療健康生態圈，深度服務醫療產業各環節參與者，並將其廣泛賦能於金融主業。醫療健康作為新方正集團核心優勢業務板塊，旗下北大醫療產業集團有限公司擁有國際一流的醫學品牌和以"建設國際一流醫院"為使命的北京大學國際醫院，無論是在線下產業規模、醫療科技研發及應用水平，還是醫療健康大數據積累方面，均與公司構建醫療健康生態圈戰略佈局高度契合。
同時，通過參與本次重整，中國平安將與北京大學建立緊密合作關係。新方正集團將承繼方正集團與北京大學及下屬單位之間既存的合作關係，延續使用方正集團目前已被授權使用的品牌及知識產權。未來，通過聚焦於醫療和信息產業領域，公司將與北京大學在醫教研和產學研的成果轉化領域開展深入合作；北京大學將在市場化與法制化的原則下對公司及新方正集團拓展醫療機構提供支持。
中國平安表示，參與方正集團重整，是公司進一步深化醫療健康產業戰略佈局、積極打造醫療健康生態圈的重要舉措。通過將北大醫療產業集團有限公司下屬優質醫療資源與平安保險專業能力、醫療科技能力緊密結合，構建"有場景、有服務、有温度、有頻率"的醫療健康生態圈，打造公司未來價值持續增長的新引擎，助力"健康中國"建設。同時平安亦將積極推進方正集團其他板塊的業務提升、資產運營與資本運作及合規化改造。通過參與方正集團重整，平安將努力獲得良好的投資回報和社會效益，進一步提升公司的綜合實力與企業聲譽。
