聯想控股(03396.HK)：建議董事會及監事會換屆選舉
格隆匯4月23日丨聯想控股(03396.HK)發佈公吿，公司現任第二屆董事會的執行董事寧旻先生、李蓬先生；非執行董事為朱立南先生、趙令歡先生、吳樂斌先生、索繼栓先生及王玉鎖先生；獨立非執行董事馬蔚華先生、郝荃女士及印建安先生的任期即將屆滿。
吳樂斌先生及王玉鎖先生因需要更多時間投入其他個人工作，因此不再於公司2020年度股東周年大會上重選連任，將自2020年度股東周年大會結束後卸任非執行董事。
楊建華先生已獲公司提名委員會及董事會提名為第三屆董事會非執行董事候選人，於2020年度股東周年大會上選舉委任。寧旻先生、李蓬先生、朱立南先生、趙令歡先生、索繼栓先生、馬蔚華先生、郝荃女士及印建安先生均符合資格和願意連任，並已獲提名委員會及董事會提名為第三屆董事會董事候選人，於2020年度股東周年大會上重選連任。獲選舉委任的第三屆董事會董事的任期為三年，自相關普通決議案獲通過之日起至選舉產生公司第四屆董事會的股東大會結束為止。
根據公司章程，公司監事任期三年，公司第二屆監事會的股東代表監事羅成先生任期即將屆滿，彼符合資格和願意連任，並已獲提名委員會及董事會提名為第三屆監事會股東代表監事候選人，於2020年度股東周年大會上重選連任。楊先生將於2020年度股東周年大會上選舉為第三屆董事會的非執行董事，故不會重選連任股東代表監事，楊先生將自2020年度股東周年大會結束後卸任股東代表監事。
張勇先生已獲提名委員會及董事會提名為第三屆監事會股東代表監事候選人，於2020年度股東周年大會上選舉委任。獲選舉委任的第三屆監事會監事的任期為三年，自相關普通決議案獲通過之日起至選舉產生公司第四屆監事會的股東大會結束為止。第三屆監事會監事將與公司簽訂服務合同。董事會建議股東授權董事會(經考慮公司薪酬委員會的建議後)釐定第三屆監事會監事的薪酬。根據公司章程，職工代表監事由公司職工代表大會選舉產生，而毋須股東批准。職工代表監事任期三年，與股東代表監事相同。
