昊海生物科技(06826.HK)擬對軟性隱形眼鏡業務進行投資
格隆匯 4 月 8日丨昊海生物科技(06826.HK)公吿，上海昊海生物科技股份有限公司(“公司”或“昊海生科”)下屬全資子公司上海昊海醫藥科技發展有限公司(“昊海發展”)與河北鑫視康隱形眼鏡有限公司(“河北鑫視康”或“目標公司”)及河北鑫達盒業有限公司、李景強、徐存敬(合稱“原股東”)簽署《增資協議》，約定昊海發展以人民幣4000萬元現金認購目標公司新增註冊資本人民幣4000萬元，本次增資完成後，昊海發展將獲得目標公司60%的股權(“本次交易”)。本次交易完成後，河北鑫視康將成為昊海發展的控股子公司，納入公司合併報表。
目標公司主要從事具有近視矯正功能的軟性親水接觸鏡(以下簡稱“軟性隱形眼鏡”)產品的研發、生產及銷售，截至目前已取得國家藥品監督管理局批准的4項軟性隱形眼鏡產品的醫療器械註冊證，包括日拋型及年拋型透明軟性隱形眼鏡，以及日拋型及年拋型彩色軟性隱形眼鏡。
本次交易完成後，一方面昊海生科視光產品線補充了兼具近視矯正及消費美粧屬性的軟性隱形眼鏡產品。另一方面，公司可利用積累的視光材料研發能力及周邊離焦近視防控等技術，藉助目標公司成熟的軟性隱形眼鏡生產工藝及規模化產能，將公司在研的帶有近視控制功能的軟性角膜接觸鏡(“軟性近視控制鏡”)等相關產品於目標公司落地實施，加快公司該類產品的研發進程，進一步充實視光產品線。
鑑於公司目前視光產品線未覆蓋軟性隱形眼鏡業務，本次交易完成後相關業務是否可以達到預期整合目的尚具有不確定性；同時，目標公司產品未形成規模化銷售，業務是否持續增長亦具有不確定性；此外，公司軟性近視控制鏡產品尚處於臨牀前開發階段，本次交易後相關產品的後續開發及獲批上市存在一定風險。
