金隅集團(02009.HK)與冀東水泥及合資公司訂立吸收合併協議
格隆匯 3 月 31日丨金隅集團(02009.HK)宣佈,於2021年3月31日,公司與冀東水泥及合資公司訂立吸收合併協議,據此,合資公司將與冀東水泥吸收合併,以使合資公司的所有資產及負債於將完成後與冀東水泥合併入賬。公司預期合資公司將於完成後一年內不復存在。冀東水泥將向公司發行代價股份,作為公司於合資公司直接持有的47.09%股權的代價。於完成後,公司於冀東水泥的實際股權將約為56.58%。
