冀东水泥(000401.SZ)拟吸收合并金隅冀东水泥并募集配套资金
格隆汇3月31日丨冀东水泥(000401.SZ)公布，公司拟通过向公司间接控股股东金隅集团发行股份的方式，购买其所持合资公司金隅冀东水泥(唐山)有限责任公司47.09%股权并吸收合并合资公司，发行价格为13.28元/股。本次吸收合并完成后，上市公司为存续主体，将承继及承接合资公司的全部资产、负债、人员、业务、合同及其他一切权利与义务，合资公司将注销法人资格。
同时，上市公司拟向包括北京国管中心在内的不超过35名符合条件的特定投资者以非公开发行股票方式募集配套资金，北京国管中心拟认购不超过5亿元。募集配套资金总额不超过本次交易中以发行股份方式吸收合并的交易价格的100%，股份发行数量不超过发行前公司总股本的30%，发行价格不低于本次募集配套资金非公开发行股份的发行期首日前20个交易日上市公司股票交易均价的80%，且不低于公司最近一期经审计的每股净资产。
本次交易前，公司控股股东冀东集团持有公司30%股份，金隅集团作为冀东集团控股股东间接控股本公司，并直接持有本公司7%股份，本公司最终实际控制人为北京市国资委。本次交易完成后，金隅集团对公司直接持股数量增加，预计将成为公司控股股东。若以标的资产预估值136.33亿元测算，不考虑冀东水泥已发行的可转换公司债券转股及本次交易募集配套资金发行股份的影响，交易完成后金隅集团对公司直接持股比例将达到47.21%，冀东集团对公司持股比例将变为17.03%，金隅集团直接、间接合计控制本公司64.24%的股份。
